In this article, Jon Dubrow assesses the FTC’s and DOJ’s track record for merger challenges under the current administration and what it means for companies. Data show that the FTC and DOJ are continuing to win and block many deals using traditional horizontal competition theories. However, the agencies’ record in taking on more novel, less mainstream theories—such as vertical mergers—shows they have been far less successful, and the overall win rate for cases litigated to decision is about half of its recent levels.

International law firm McDermott Will & Emery is pleased to announce its Healthcare Practice Group has again received a nationwide Band 1 ranking in the 2023 edition of Chambers USA. This marks the 14th year in a row the firm has secured a Band 1 ranking for its leading healthcare practice.
The Healthcare Group also earned state-level rankings in California, District of Columbia, Florida, Illinois, Massachusetts and New York. Overall, the Firm had 41 Chambers USA recommended healthcare lawyers, comprising over 50 percent of the practice partnership, and with more individual rankings than any Band 1 or 2 competitors in the healthcare category.

International law firm McDermott Will & Emery represented Westlawn Group LLC, a private investment firm based in Houston, TX focused on long-term investment in the global oil and gas industry (“Westlawn”), in the acquisition by Ellipsis US Onshore Holdings LLC, an affiliate of Westlawn (“Ellipsis”), of non-operated oil and gas properties in the Delaware Basin of Texas and New Mexico. The assets acquired by Ellipsis have current production of more than 4,500 boe/d (2-stream) with significant operational upside associated with approximately 250 gross remaining locations. Ellipsis was formed by Westlawn to pursue the acquisition and development of large, producing oil and natural gas assets in the United States.
The McDermott deal team was led by Kevin Brophy and Jack Langlois and included Ming Lei, Sarah Nabors, Alex Farr and Jacob Hollinger.
