Julian L. André will be speaking at Los Angeles County Bar Association (LABCA) latest event exploring the impact of COVID-19 on the US economy.

Passed in March 2020 to address the unprecedented impact of COVID-19 on the US economy, the Coronavirus Aid, Relief, and Economic Security (CARES) Act provided over $2 trillion in economic relief to businesses and workers.  The CARES Act offered relief through several different programs, including the Paycheck Protection Program (PPP), Economic Injury Disaster Loans, Express Bridge Loans, and Provider Relief Fund.

Under the PPP program, small businesses could apply for forgivable loans from the Small Business Administration (SBA) to cover expenses and retain or hire back employees who may have been laid off due to the coronavirus shutdowns.  To date, the SBA has approved over 7.5 million PPP loans totaling more than $687 billion.  Almost immediately, the Department of Justice (DOJ) began to prioritize investigating and charging CARES Act fraud cases, including PPP loan fraud.

As of March 2021, the DOJ has charged approximately 100 defendants involved in more than $260 million of PPP fraud.  The DOJ has also used civil enforcement tools like the False Claims Act (FCA) and Financial Institutions Reform, Recovery, and Enforcement Act (FIRREA) to combat CARES Act fraud, as evidenced by a recent FCA and FIRREA settlement.  Under the Biden administration, the DOJ will likely devote more time and resources to prosecute CARES Act fraud through criminal and civil actions.  Join the virtual CLE discussion and learn how prominent white-collar defense counsel and prosecutors are defending and charging these CARES Act fraud cases.

Designing investments requires thinking ahead to how the investment will end – structuring an exit that takes into account legal rights applicable to both parties, policy objectives, and the market reality at the time of the exit. Often, the market reality may be different at the time of exit than the parties had anticipated. That has never been more true in 2021, after 12+ months of a global pandemic that has had a material economic impact world-wide. What new exit possibilities and tools are being used to adjust? Are investors modifying legal rights, social impact targets, or extending investments to provide more time for the market to rebound? This panel will examine practical exit strategies being used by those coming to the end of an investment and those thinking ahead to new investments.

Ranajoy Basu will be leading a panel discussing key issues and ramifications.

This Strafford-hosted CLE webinar will provide renewable energy counsel and utilities an in-depth analysis of key considerations and challenges in utility acquisitions of renewable energy projects. The panel will discuss key provisions in structuring deals, mitigating risks, build-transfer agreements and critical tax considerations for utilities and developers.

    DESCRIPTION

There has been a substantial increase in the acquisition of renewable projects and related assets by utilities within the last few years. Structuring these deals requires counsel to have detailed knowledge of the legal, regulatory and tax challenges involved in such transactions.

Wind and solar are increasingly competitive forms of electric generation, unlocking M&A opportunities for owners. Utilities are pursuing renewables to replace the older generation with more cost-effective alternatives and take advantage of current tax incentives. However, a utility’s acquisition of renewable assets can be complicated to navigate due to various items to consider, such as risks, key terms and conditions of build-transfer agreements, the use of tax equity for financing and regulatory compliance challenges.

Listen as our panel discusses key provisions and issues in negotiating and structuring deals, methods to mitigate risks, financing options and tax considerations for utilities and developers.

    OUTLINE

    1. Recent developments in renewable project acquisitions
    2. Legal and regulatory considerations
    3. Build-transfer agreements
    4. Tax issues
    5. Financing options

    BENEFITS

The panel will review these and other key issues:

    • What are the challenges in the acquisition of renewable energy assets by utilities?
    • What are the key items for negotiating and structuring the deal?
    • What key components of build-transfer agreements should be considered by developers and utilities?
    • What are the tax challenges?
    • What are the options and considerations for financing?
