    COVERAGE / PRESS RELEASE

49 of the Nation’s Leading Law Firms Respond to Investment Company Act Lawsuits Targeting the SPAC Industry

    August 27, 2021

    Read time: 5 min

Recently a purported shareholder of certain special purpose acquisition companies (SPACs) initiated derivative lawsuits asserting that the SPACs are investment companies under the Investment Company Act of 1940, because proceeds from their initial public offerings are invested in short-term treasuries and qualifying money market funds.

Under the provision of the 1940 Act relied upon in the lawsuits, an investment company is a company that is or holds itself out as being engaged primarily, or proposes to engage primarily, in the business of investing, reinvesting or trading in securities.

SPACs, however, are engaged primarily in identifying and consummating a business combination with one or more operating companies within a specified period of time. In connection with an initial business combination, SPAC investors may elect to remain invested in the combined company or get their money back. If a business combination is not completed in a specified period of time, investors also get their money back. Pending the earlier to occur of the completion of a business combination or the failure to complete a business combination within a specified timeframe, almost all of a SPAC’s assets are held in a trust account and limited to short-term treasuries and qualifying money market funds.

Consistent with long-standing interpretations of the 1940 Act, and its plain statutory text, any company that temporarily holds short-term treasuries and qualifying money market funds while engaging in its primary business of seeking a business combination with one or more operating companies is not an investment company under the 1940 Act. As a result, more than 1,000 SPAC IPOs have been reviewed by the staff of the SEC over two decades and have not been deemed to be subject to the 1940 Act.

The undersigned law firms view the assertion that SPACs are investment companies as without factual or legal basis and believe that a SPAC is not an investment company under the 1940 Act if it (i) follows its stated business plan of seeking to identify and engage in a business combination with one or more operating companies within a specified period of time and (ii) holds short-term treasuries and qualifying money market funds in its trust account pending completion of its initial business combination.1

    1. Certain of these lawsuits also claim that personnel of the SPAC sponsor are acting as unregistered investment advisers under the Investment Advisers Act of 1940 by advising on the SPAC business combination (which the plaintiff incorrectly asserts constitutes advice as to investing in, purchasing, or selling securities). The law firms listed herein also view this claim as without legal basis and do not believe that such personnel or the SPAC sponsor are unregistered investment advisers.↩

    PRESS RELEASE

Schulte Lawyers Author Report in Support of the John Lewis Voting Rights Advancement Act

    August 2021

    Read time: 3 min

On Aug. 16, 2021, the House Judiciary Committee convened hearings on the John Lewis Voting Rights Advancement Act (“H.R. 4”). In support of the Act, a team of Schulte lawyers and business staff drafted a thorough Report on the current conditions of voting rights discrimination in Alabama, which was officially entered into the Congressional Record. Schulte drafted this Report with our pro bono client The Southern Poverty Law Center and worked closely with Fair Fight Action. Schulte’s Report is now used as a model for other law firms and organizations preparing similar reports in support of H.R. 4.

The more than 100-page Report, entitled “Selma, Shelby County, & Beyond: Alabama’s Unyielding Record of Racial Discrimination in Voting, the Unwavering Alabamians Who Fight Back, & the Critical Need to Restore the Voting Rights Act,” reveals current, consistent and well-documented racial discrimination in voting in Alabama and shares the first-hand experiences of 56 Alabama voters. The report finds that racial discrimination in voting has reached crisis levels following the 2013 Shelby County v. Holder decision by the Supreme Court that ended federal preclearance of voting changes in jurisdictions with histories of racial discrimination in voting, such as Alabama.

The Schulte team was led by individual client services partner Catherine Grevers Schmidt. The team also included litigation partner Gary Stein and associates Noah Gillespie and Erika Simonson; and investment management associates Gwendolen Akard and Savannah Price and former Schulte lawyer Brandon Faske.

International law firm McDermott Will & Emery announced today the appointment of Marcia Shekerdemian QC as senior consultant in its Global Restructuring and Insolvency Practice in London. Marcia remains in independent practice as a barrister at Wilberforce Chambers where she will continue to provide specialist advisory services to clients and lead Wilberforce’s Restructuring and Insolvency Group.

“We are thrilled to have Marcia join our London practice as she has vast experience from the Bar and is a senior leading female voice in our industry. She will be joining a vibrant team with an outstanding Finance and Restructuring & Insolvency capability that has grown significantly over the past 18 months with the appointments of Mark Fennessy, Sunay Radia, Ranajoy Basu, Mark Fine and Aymen Mahmoud,” said Hamid Yunis, Managing Partner of McDermott’s London Office.

Marcia is a leading practitioner in all aspects of contentious and non-contentious insolvency, company and partnership law as well as commercial litigation. Her work encompasses both domestic and international matters. She has appeared in the Grand Court of the Cayman Islands and in the Isle of Man. Marcia also sits in the High Court as a Deputy Insolvency and Companies Judge. In addition, she is well known for her work in equality and diversity, in particular support for women at the Bar; she is the author of the Chancery Bar Association’s 2021 Report “Voices of Women at the Chancery Bar”.

Mark Fennessy, London Head of Restructuring & Insolvency at McDermott, added: “Marcia is a remarkable appointment for our London Restructuring & Insolvency team that will also benefit our global practice.  We have worked with Marcia for many years and envisage her outstanding experience at the Bar augmenting the skills we currently have in our team. With the simultaneous increase in volume of distressed businesses and contentious matters, we anticipate that more cases will end up in court, making Marcia’s expertise invaluable to our clients and offering.”

Chambers UK and The Legal 500 have recommended Marcia for many years in insolvency and restructuring, company and commercial dispute resolution. Chambers UK also ranks her for commercial chancery work, noting in addition her expertise in property-related litigation. Most recently stating: “What stands out is that Marcia gets straight to the heart of a matter, and she’s very easy to deal with, which is huge.” (Chambers and Partners, 2020) and “Ferociously bright while very user friendly and proactive.” “A star of the senior insolvency Bar; has an enormous capacity for work and never phased, and always great with the client.” (The Legal 500, 2020).

Marcia Shekerdemian QC said, “I’m very excited to be joining the fantastic McDermott team. Mark, Sunay and I have worked together over the years on a number of cases and I consider their team to be one of the strongest that I have worked with, both in the UK and internationally. Recently they have been engaged on some complex and high profile restructurings, including European TopSoho, DTEK, Travelex and Codere.”

Wilberforce Practice Director, Nick Luckman commented, “McDermott is a valued client, and I am delighted that Marcia will be working more closely with the Restructuring and Insolvency Practice as a Senior Consultant. International law firm McDermott Will & Emery announced three new partner additions to its Transactions Practice Group: Kevin Brophy in Houston and Jim Salerno and Robert da Silva Ashley in New York.

Kevin served as general counsel for the Kayne Anderson Energy Funds for nearly 15 years and expands our Houston-based Energy group led by Jack Langlois, who joined the Firm in March 2021 from DLA Piper. This boosts conventional energy mergers and acquisitions (M&A) and private equity capabilities in our growing Texas offices. Kevin also regularly advises on investments in and financings of energy projects and assets, including M&A, joint ventures and dispositions of assets and equity of energy companies.

“Texas provides significant opportunity for our clients and that is the primary reason we’re building out our footprint to support major energy infrastructure, project finance and transaction matters across the state,” Mike Poulos, McDermott’s Head of Strategy, said. “Kevin brings an in-house perspective that adds incredible immediate value, while aligning perfectly with our commitment to client service excellence.”

Jim and Robert join McDermott in New York from Jones Day. They represent multinational corporate and business entities primarily in the United States, Latin America and Sub-Saharan Africa on complex conventional and renewable energy projects affecting markets globally.

“Jim and Robert understand how to get highly sophisticated deals done and are fierce client advocates throughout the entire deal cycle,” Harris Siskind, global head of McDermott’s Transactions Practice Group, said. “From the United States to Africa to Latin America, Jim and Robert counsel leading organizations impacting critical energy and infrastructure policy worldwide. We’re thrilled they’ve joined McDermott.”

Jim advises clients in all stages of development for constructing and financing domestic and international energy and infrastructure projects. He represents developers, sponsors, investors and lenders in structuring and negotiating renewable power, energy storage, carbon capture, renewables, geothermal, hydro and nuclear generation projects, as well as clients in the mining and metals industries.

Robert focuses his practice on cross-border and domestic project finance and corporate lending transactions and is a recognized expert in the Latin American market. He is a trusted advisor to international and domestic financial institutions, project sponsors and developers, investment funds and multinational corporations.

McDermott continues its talent acquisition spree across the Transactions practice with 27 partner hires since the beginning of 2021.
