International law firm McDermott Will & Emery welcomes Timothy (Tim) Spangler to its Transactions Practice Group as a partner in the Orange County and Silicon Valley offices. Joining from Dechert, Tim represents global clients at the intersection of investment management and disruptive financial technologies.

“Investment firms are increasingly seeking to implement groundbreaking innovations to diversify their portfolios in today’s rapidly evolving global economy,” said Harris Siskind, global head of McDermott’s Transactions Practice Group. “Tim is a first-rate, innovative strategist who can see around corners to help clients with their most important business decisions.”

He also counsels clients on a variety of US, UK and cross-border regulatory matters, including the Investment Advisers Act of 1940, the Financial Services and Markets Act 2000, the Alternative Investment Fund Managers Directive and the ever-evolving regulatory landscape.

Some of Tim’s most notable work includes:

    • Representing Figure Technologies, Inc. in the launch of its Provenance blockchain, purpose-built for financial instruments and real-world assets
    • Representing several alternative fund managers in the launches of their private equity and hedge funds, including both onshore and offshore structures
    • Advising Fabric, a wealth technology platform specializing in portfolio design, customization, and analytics for wealth managers and advisors, on its acquisition by MSCI Inc., a leading provider of mission-critical decision support tools and services for the global investment community

“McDermott’s year-over-year growth is incredibly impressive, and I’m thrilled at the opportunity to expand the Firm’s West Coast footprint,” Tim said. “The Firm already boasts exceptional talent in the funds formation space as well as market-leading experience in cryptocurrency insolvencies and disputes, and I’m eager to advise on the complex regulatory aspects of these transactions.”

Planned Digitalization of Company Law: The EU Company Certificate

    May 13, 2024

    Read time: 2 min

    Key takeaways
    Overview

In cross-border legal transactions, players often encounter the problem that national commercial register data is difficult to compare. The lack of reliable register information in some member states also leads to a time-consuming information procurement process and inevitably drives up costs.

The European Commission responded to this problem back in March 2023 with a proposal for a Digitalization Directive II, which is intended to further develop digitalization in company law (“Commission draft”). A key element of the proposed Digitalization Directive II is the introduction of an EU Company Certificate (“EU Company Certificate”). In this article, Dr. Philipp Grenzebach, Dr. Frederic Peine and Annabelle Rau explain the planned EU company certificate and its potential impact on cross-border legal transactions within the internal market.
