McDermott Maintains Band 1 Healthcare National Ranking from Chambers USA For 13 Consecutive Years, Dubbed “Elite” Firm

International law firm McDermott Will & Emery is pleased to announce its Healthcare Practice Group received a nationwide Band 1 ranking in the 2022 edition of Chambers USA for the 13th year in a row. The Healthcare group also earned state-level healthcare rankings in California, District of Columbia, Florida, Illinois, Massachusetts and New York. Overall, the Firm had 44 Chambers USA recommended nationwide healthcare lawyers, including seven new additions from last year, spanning nine states across the US.

McDermott Will & Emery has advised Five Arrows Principal Investments on entering into exclusivity negotiations with Quilvest Capital Partners and IK Partners to acquire a majority stake in Groupe EDH, alongside the management team who will be reinvesting.
Groupe EDH is a leading player in the private higher education sector in France, encompassing eight reference schools and delivering certified graduate programs and specialized MBAs across communication, artistic and cultural management, journalism, design, cinema and digital arts.
The transaction remains subject to antitrust approval.

In 2019, a team of McDermott lawyers worked to fight for safe and affordable housing through the Inner City Law Center. Jon Dean, Irene Le, Brett Meyerhoff, Cecilia Choy, Regina Hunter and Leia Espericueta advocated on behalf of six long-term tenants who resided in a multi-story, rent-stabilized building in South Central Los Angeles that was plagued by a multitude of issues, including roach, bedbug, and rodent infestations, clogged plumbing, leaking showers and sinks, defective smoke detectors, broken windows and floors, and repeated harassment from newer tenants.

Paris, May 31, 2022 – McDermott Will & Emery advised GeNeuro (Euronext Paris), a biopharmaceutical company developing treatments for neurodegenerative and autoimmune diseases, on its €7, 7 million capital increase with cancellation of the preferential subscription rights which closed on May 16, 2022. The transaction consisted of an international private placement to certain qualified and institutional investors only of 2,678,251 new ordinary bearer shares of GeNeuro.
The Company intends to use the net proceeds of the Offering to complete the funding for its planned post-COVID trial with temelimab, complementing the grant received for this trial from the Swiss Federal Office for Public Health (FOPH).
The McDermott team that advised GeNeuro was led by David Revcolevschi, Partner and comprised Selim Laroussi on capital capital markets aspects and Côme de Saint-Vincent (Counsel) on tax aspects.
GeNeuro’s Swiss counsel was Gantey.

International law firm McDermott Will & Emery is pleased to announce the addition of three partners to its transactions practice: Luc Jansen and Prem Amarnani in New York and Nathan Mihalik in Atlanta. Luc and Prem will support global clients in fund formation as demand from private equity, real estate and private client work continues to grow, while Nathan will bolster the Firm’s global mergers and acquisitions (M&A), corporate governance and securities practice in the Atlanta market, additional key areas with significant demand and strong market momentum.

Luc represents US and non-US sponsors in the formation of private investment funds across a variety of strategies, including private equity and buyout funds, real estate funds, credit funds, infrastructure funds, funds of funds, high-net-worth feeder funds and financial services funds. Luc also has significant fund formation experience counseling clients in a variety of high-profile and complex transactions. With an impressive cross-border background in private investment funds, he assists the global needs of clients, particularly within the United States and the United Kingdom where he has practiced law. Luc joins from Kirkland & Ellis.

Prem focuses his practice on corporate and transactional matters with respect to private investment funds across a variety of strategies. He represents sponsors in connection with the formation and operation of private funds as well as sovereign wealth funds, family offices and US and non-US businesses and individuals in connection with their respective investments in private funds. Prem also advises on the formation and operation of family offices and has significant in-house legal experience with two of the world’s largest alternative asset managers. In addition, he advises on an array of other corporate matters, including investments in investment managers and secondary transactions. He joins from Skadden, Arps, Slate, Meagher & Flom.
Nathan advises public and private companies, as well as private equity funds and other financial sponsors, in a variety of complex transactions, including M&A, divestitures, joint ventures, strategic investments and alliances, carve-outs, recapitalizations, “going private” transactions and special committee representations. Nathan also has extensive experience advising public companies on corporate governance and securities matters and sophisticated commercial arrangements. He joins from King & Spalding.

Munich, May 19, 2022 – McDermott Will & Emery has advised the founders and existing shareholders of FotoFinder Systems GmbH on the sale of a majority stake in their company to EMZ Partners. The shareholders will take a significant equity stake back and continue the business.
FotoFinder Systems GmbH, founded in 1991 and headquartered in Bad Birnbach (Bavaria), is a leading provider of visualization technology for early skin cancer detection and aesthetic treatment.
The private equity firm EMZ Partners, with offices in Paris and Munich, focuses on investing alongside founders, family shareholders and managers and has invested in more than 130 medium-sized companies over the past 20 years.
The closing of the transaction took place at the end of April 2022.

Düsseldorf, May 17, 2022 – McDermott Will & Emery has advised alternative postal service provider Postcon NRW GmbH on its successful reorganization in self-administration.
Postcon NRW GmbH’s creditors approved the insolvency plan without any dissenting vote on May 6, 2022. Having already been confirmed by the insolvency court, the plan is ready to be implemented and insolvency proceedings are expected to be lifted shortly.
Postcon NRW GmbH had filed for insolvency on November 17, 2021. The Düsseldorf Local Court granted the management’s application to conduct the proceedings in self-administration and opened the proceedings on February 1, 2022. Attorney Dr. Markus Kier, Piepenburg Rechtsanwälte, was appointed as administrator.
A McDermott team led by Düsseldorf-based partner Dr. Marc Oberhardt, who specializes in insolvency-related restructuring solutions, supported the company around Managing Director Jörg Kosel and Restructuring Managing Director Dr. Hans Peter Döhmen of döhmen consulting in all legal matters through the self-administration. The insolvency plan procedure was completed in approximately six months without any significant job cuts. Around 1,050 jobs will be retained at Postcon NRW GmbH, which will change its name to xendis Versandlogistik GmbH from June.
Postcon NRW GmbH is the largest alternative mail delivery service in Germany, with a primary focus on transporting business mail for private companies and public-sector clients. Mail is delivered within large parts of North Rhine-Westphalia by around 800 of the company’s own delivery staff via its own sorting center and 55 local delivery depots.
