Unclaimed property compliance doesn’t end at the U.S. borders. Understanding international unclaimed property requirements is an essential part of a comprehensive compliance program. Diann Smith presented on this topic during a webinar hosted by UPPO, exploring matters relating to international unclaimed property, with an emphasis on Canadian regulations. Learning Objectives:

    • Identify strategies for identifying and claiming funds – including corporate structure, locations, and property types.
    • Understand the requirements of Canadian unclaimed property laws, examining variations by province.
    • Examine considerations to determine whether certain foreign property may be reportable to your state of incorporation or abroad.

DOL Investigations – Past, Present, Future
    Speaker: Ted Becker
    Thursday, November 14 | 9:45 – 10:45 am
ERISA was signed into law on Labor Day 1974 — 50 years ago. The U.S. Department of Labor has responsibility for administering and enforcing the provisions of Title I of ERISA, including regulating ESOPs. The DOL’s approach to investigating ESOPs has evolved over the years. This session reviews those changes, explains current DOL investigation procedures, and looks ahead to significant future changes in view of recent legislation and court decisions. Learning objectives include:

    • Review the major ways DOL investigations have evolved over the past 50 years.
    • Explain what to expect currently in a DOL Investigation.
    • Project changes in future DOL investigations.

Art of the Possible – Sophisticated Sustainability Considerations
    Speaker: Allison Wilkerson
    Friday, November 15 | 8:00 – 9:00 am
Long-term ESOP ownership requires active understanding of the benefits to be provided under the plan and how they may change as an ESOP matures. Managing repurchase obligation and the ability to provide ongoing benefits to the active employee population is key to a successful ESOP. A Board of Directors should be aware of ESOP requirements and plan for ongoing ESOP benefits and understand the various “tools” by which an ESOP may be sustained. An active and ongoing review can allow the Board of Directors to balance benefits owed and accruing to active and terminated participants and ensure the ESOP remains a viable ownership structure. Finally, the company must understand the current regulatory and litigation environment as it considers alternatives for promoting a sustainable ESOP. Learning objectives include:

    • Understand how age (time from implementation) may affect an ESOP’s structure and benefits.
    • Parse responsibilities for a sustainable ESOP and focus on corporate governance options for addressing company obligations.
    • Consider how regulatory requirements and litigation informs sustainability planning.

Executive Series – Policy Regulatory Discussion
    Speaker: Allison Wilkerson
    Friday, November 15 | 9:30 – 10:30 am
In this session, we will focus on litigation and regulatory trends challenging the general operation of ESOP plans, for example:

    • Releveraging – Central State complaint challenging releveraging as a fiduciary breach
    • Conversion/Segregation of Accounts – new complaint challenging segregation of former employee accounts
    • Non-Stock Assets and investment of same in your ESOP
    • DOL/IRS Audit/Investigation Trends

Trump’s Energy Plan: Outlook on the Market and Renewable Energy Policies Under the New Administration

Carl Fleming, a McDermott renewable energy and project finance partner, will present to members of US Congress and top energy executives at the 5th Energy Transition Forum 2024, hosted by U.S. Energy Stream.

Among other items, Carl will be presenting on his outlook on the market and renewable energy policies:

The Inflation Reduction Act of 2022’s (IRA) future under the new administration. Having worked in the Obama administration and then advising the Obama, Trump, and Biden White Houses, Carl will provide his views on the administrative and political underpinnings of the IRA and how the IRA will continue to drive renewable energy initiatives forward.

The IRA will continue to have an impact on the new energy investing landscape. Drawing on his experience of leading more than 80 post-IRA transactions, which included debt, tax equity, and direct transfers, Carl will offer his insights into the new investing landscape.

The rise of data; the convergence of artificial intelligence, data centers, and renewables; and how to bridge the gap between them. Increased data consumption and processing are reversing a more than 10-year trend of stagnant US load growth, resulting in a massive boon to renewables deployment. Carl will share examples from his digital infrastructure experience that show how power access constraints will drive demand for onsite power solutions, paving the way for more substantial sustainable solutions.

Renewables as a key driver for more US jobs and improved energy security. The need for domestic energy has never been greater. One of the fastest and most cost-effective ways to supply this demand, ensure energy security, and create millions of US jobs and billions in US economic growth in the process is through developing a massive amount of US-made wind, solar, and battery assets at the ready.

The Energy Transition Forum is a private, invitation-only meeting for exploring energy strategies and policies that may be implemented under the new administration. All proceedings are off the record, not for attribution or dissemination, and fully closed to the members of the press.
