McDermott Represents Affiliates of Robert Bosch GmbH in its Acquisition of Paladin Technologies Inc.

International law firm McDermott Will & Emery represented affiliates of Robert Bosch GmbH (Bosch), a leading global supplier of technology and services, in its acquisition of Paladin Technologies Inc. (Paladin), a leading provider of security and life safety solutions and system integration services in North America. Paladin employs around 1,500 associates across 35 locations in Canada and the US with projected 2023 sales approaching $400 million USD.
This purchase complements Bosch’s 2015 acquisition of Climatec and will allow Bosch to expand its system integration business by entering the Canadian market and increasing its US operations. Bosch Building Technologies is part of Bosch’s Energy and Building Technology business sector and reports strong growth with its energy- and cost-efficient commercial building and services portfolio. The business sector including Bosch Building Technologies grew 17.4% in 2022.

McDermott Recognized for Pro Bono Case Seeking Asylum for Guatemalan Minor

Pro BonoInternational law firm McDermott Will & Emery has been named Pro Bono Team of the Year by Kids in Need of Defense (KIND) for its work to help a teenage refugee who fled Guatemala to pursue asylum in the United States (US).
The teenager, who endured persecution by Guatemalan gang members, fled to the US with no family to accompany her. Led by an all-female McDermott team, a declaration was built, an application for asylum was filed and the teenager obtained a work permit so she could start building a life in her new home country. In addition to the pursuit of asylum, the team collaborated with KIND to secure a host of additional resources for the teenager, including mental health and social services.
KIND’s mission is to protect the rights of children who seek safety in the US. They work to ensure that no child appears in immigration court without top legal representation, advance laws and policies that ensure children’s protection and promote durable solutions to child immigration.
“KIND is a wonderful organization, and our team is humbled to be recognized for making an impact on the people it serves. We’re grateful for the opportunity to help this young woman and to dedicate our resources to advocate for children in need,” said Cecilia Choy, an associate in the Intellectual Property Practice Group and lead on the project. “We will see this case through and look forward to seeing our client thrive and build the life she deserves.”

- Representing a major integrated energy company in the US Court of Federal Claims related to the company’s eligibility of tax credits to produce crude oil from tar sands
- Arguing on behalf of a publicly traded multinational oil and gas exploration and production company in the US Tax Court related to foreign tax credits and deductions
- Providing tax advice to a substantial foreign-based airline involving the federal excise taxes applicable to air transportation services

Munich, October 4, 2023 – McDermott Will & Emery has advised NORD Holding on the acquisition of the Swiss Suter Group by Heizkurier Group.
With the acquisition, NORD Holding is implementing its growth and sustainability-focused strategy for Heizkurier to establish a market leader for equipment-as-a-service of mobile heating solutions in the DACH region. With around 180 employees at 17 locations, the combined group aims at further internationalization and expansion of its mobile refrigeration business. The existing management and the founders of Suter participate in the merger.
Founded in 2007, Heizkurier Group is a leading provider of rental and sales of mobile heating and cooling solutions. The group is headquartered in Wachtberg and runs ten service sites in Germany and Austria. The rental equipment pool includes more than 1,000 mobile heating and cooling units with capacities ranging from 10 kW to 5,000 kW.
Suter Group, headquartered in Lupfig, Switzerland, is considered a pioneer in green pellet technology and rents environmentally friendly hot air and hot water systems to its customers. Suter’s rental equipment fleet includes more than 500 mobile pellet heating systems with an output of 50 to 1,000 kW.
NORD Holding is a private equity and asset management company with assets under management of 3 billion euros. The focus of the direct business is on the structuring and financing of corporate succession models, the acquisition of group divisions/subsidiaries and the expansion financing of medium-sized companies. The Fund Investments unit targets the micro and small cap segment of mid-market-oriented private equity funds in Europe.
