Governance and board/special committee representations

  • Advised the Special Committee of Tesla, Inc. in designing and negotiating the $1 trillion equity package to Elon Musk that was overwhelmingly approved by stockholders and enabled Musk to vote shares prior to the award becoming taxable
  • Retained as counsel to the audit committee of a Fortune 500 company to evaluate and advise on rights to recover compensation under its clawback policy, including statute of limitation, estoppel, and indemnification considerations
  • Represented the special committee of a New York Stock Exchange company in connection with allegations of board self-dealing and in connection with Delaware Court of Chancery litigation
  • Retained as counsel by the compensation committee of several public companies in connection with sensitive executive compensation matters, including hiring and employment terminations, setting director compensation, addressing change in control-related disputes, and adopting discretionary clawback policies beyond minimum requirements under the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010
  • Retained as counsel by the audit committee of a Fortune 500 company to address whistleblower claims alleging improper securities disclosure and tax reporting of corporate aircraft usage
  • Retained by a board of directors to conduct compliance review of tax-qualified plans after allegations of wrongdoing by plan participants and resolve a related investigation by the US Department of Labor (DOL)
