    PRESS RELEASE

Schulte Achieves Unprecedented Victory in Securing Board Seats for venBio and Unwinding Transaction at Immunomedics

Schulte achieved multiple hard-fought victories for venBio Select Advisor LLC in its proxy contest for majority control of the board of directors at Immunomedics Inc., a clinical-stage biopharmaceutical company. venBio succeeded in seating four directors for a majority of Immunomedics’ board with virtually unprecedented support from all three leading proxy advisory firms ISS, Glass Lewis and Egan Jones.

This case was noteworthy in many respects, as venBio’s proxy campaign was subject to an unusual level of litigation over many novel issues as the company and its incumbent directors vigorously fought venBio at every stage. Less than a week before Immunomedics’ already rescheduled annual stockholders meeting was scheduled to take place, the company announced that that it had entered into a transformative transaction with Seattle Genetics to license its only currently viable product, an antibody-drug conjugate being investigated as a treatment for life threatening cancers. Schulte alleged that the transaction was a blatant act of entrenchment and would virtually amount to a sale of the company — a tactic target companies sometimes take as activist investors appear poised to prevail at a proxy contest. When Immunomedics announced the deal, it also adjourned the annual meeting for two weeks to give it additional time to try to swing the board of directors vote in favor of the incumbents.

Schulte’s activism litigation team stepped in alongside our shareholder activism lawyers to provide seamless support at each step throughout the engagement and secure multiple significant victories for venBio, including preventing Immunomedics from moving its record and annual meeting dates, and successfully obtaining a temporary restraining order enjoining the Seattle Genetics transaction from closing. Soon thereafter, Seattle Genetics agreed to terminate the transaction.

The integrated team advising venBio was led by co-chair of the firm’s global shareholder activism practice Eleazer Klein, along with associates Brandon Gold and Daniel Goldstein. Shareholder activism litigation partner Michael Swartz led the litigation team, which included associates Mark Garibyan, George Rowe and former Schulte lawyers Abigail Coster and Stephanie Kelly.

    PRESS RELEASE

McDermott Advised Oaktree Capital Management on the Realisation of the Loan by Means of a Private Sale

    March 16, 2017

    Read time: 3 min

Düsseldorf, March 16, 2017. – McDermott Will & Emery advised Oaktree Capital Management on the realisation of the loan by means of a private sale in cooperation with the insolvency administrators. Through the transaction, FFIRE Immobilienverwaltung AG acquired a portfolio of six office properties throughout Germany.

The particular difficulties of the transaction compared to a “normal” asset deal were that the sellers from Germany and Luxembourg were both insolvent and under compulsory management. This presented complex legal problems to all parties involved on the buyer and seller side with regard to transaction security. Thus, for example, the purchase price payment was to be insolvent-proof as well as the payment of the purchase prices and the termination of the forensic administration.

Advisers: Dr. Ulrich Flege, Dr. Marc Oberhardt (insolvency law), Nina Siewert (tax law), Andreas Herzig (real estate management).

    PRESS RELEASE

Insurance Company’s Complaints Against Paying Out Life Insurance Policy Dismissed

    March 13, 2017

    Read time: 4 min

Schulte represented a consortium of investors and a securities intermediary in securing dismissal of a complaint by an insurance company contesting a $6-million life insurance policy owned by the investors. The insurance company had argued that the policy was void as a so-called stranger-originated life insurance policy because it amounted to an illegal wagering contract, and that the owners did not have an insurable interest in the life of the insured and that the trust that was created in connection with policy was void. On March 13, 2017, the U.S. District Court for the District of Utah rejected every argument the insurance company put forward to avoid paying out on the policy, rejecting the company’s arguments as “meritless.” The court accepted all of Schulte’s arguments and dismissed the complaint with prejudice.

The insurance company sued the securities intermediary seeking a declaratory judgment that it did not have to pay the investors the death benefit under the life insurance policy they had purchased when the insured died. The insurance company also sought a declaration that it could keep the premiums the investors had paid over the years under the policy. The insurance company argued the investors had engaged in a scheme to obtain insurance on a person in whom the investors had no insurable interest — a so-called stranger-originated life insurance policy — and that the policy constituted an unconstitutional wager on the insured’s life in violation of the Utah Constitution’s prohibition on gambling. Our client countered that the insurance company’s claims were barred by the state’s incontestability statute, which cuts off challenges two years after a policy is issued. In essence, Schulte pointed out that the insurance company had waited six years too long to raise any challenge to the policy and the court agreed.

This decision was significant not only for the investors involved in this particular policy but also for the entire life settlements industry.

The Schulte team that secured this victory was led by litigation partner Harry Davis and included litigation associate Robert Griffin, with assistance from structured finance & derivatives partners Boris Ziser and Thomas Weinberger.
