McDermott Partner Paul Hughes, Recognized by the American Immigration Lawyers Association

    June 8, 2021

    Read time: 4 min

McDermott Will & Emery’s Supreme Court and Appellate Practice Group co-chair, Paul Hughes, is one of two litigators to receive the American Immigrant Lawyers Association (AILA) Jack Wasserman Memorial Award in 2021. The recognition highlights excellence in litigation in the field of immigration law – an area in which Paul has had recent success.

In a 7-2 decision, the Supreme Court handed McDermott a sweeping victory in Guerrero–Lasprilla v. Barr, a case addressing judicial review over administrative agency actions in the immigration context. The decision held that courts may review not just purely legal questions, but also, the application of law to undisputed facts. This consequential decision will be cited across administrative law for those seeking expansive review of agency actions.

Nassrallah v. Barr was another 7-2 Supreme Court win for McDermott this Term, again addressing the intersection of administrative law, judicial review and the United Nations Convention against Torture. Crucial to victory, was McDermott’s advancement of a statutory interpretation argument that had been overlooked by all 10 courts of appeals to have previously addressed the issue. As a direct result of the innovation brought to arguments by this team, Nasrallah now establishes important new protections for those who may be subject to torture or extrajudicial killing following deportation.

An experienced appellate lawyer, Paul has argued nine times at the US Supreme Court, including in February, March, October, and December 2019, March 2020, and January 2021. He has argued more than 45 cases, including before en banc sittings of the Fourth, Fifth, Ninth, and Tenth Circuits, and before panels of the First, Third, Fourth, Fifth, Seventh, Eighth, Ninth, Tenth, Eleventh, DC, and Federal Circuits.

Schulte advised Serengeti Asset Management LP in raising capital for Serengeti Caracal Master Fund LP (including feeder and parallel vehicles, the “Funds”) to pursue the firm’s growing private investments strategy. Serengeti Caracal Master Fund LP held a final closing in April 2020 and the Funds have collectively received commitments totaling approximately $300 million. This drawdown product invests opportunistically in overlooked and less efficient niches of the markets through bespoke financing platforms, designed to capture returns in underserved markets that need capital. The Funds received significant backing from new institutional investors globally, as well as from existing Serengeti clients, and leverage Serengeti’s long track record of identifying, structuring and executing on unique and complex transactions. Serengeti is an investment management firm specializing in niche private and credit opportunities with approximately $1.1 billion in assets under management.

McDermott Comment | Caffè Nero Fails To Strike Out CVA Challenge

    June 3, 2021

    Read time: 3 min

Mark Fennessy, partner at law firm McDermott Will & Emery, said:

“The recent Caffè Nero decision comes hot on the heels of several recent High Court challenges by landlords to CVAs following the high profile cases of New Look and Regis. Although the Caffè Nero decision relates to an unsuccessful interim strike out and summary judgment applications of a landlord’s challenge to a CVA, with a full trial of the challenge being ordered for a later date, it is clear that the courts are being asked to scrutinise CVAs and the processes leading to their approval. This case also closely follows the Virgin Active decision where landlords unsuccessfully challenged the restructuring plan.

All these cases are being closely monitored by commercial landlords and companies contemplating restructuring their leasehold portfolios, and will provide the template for the use of CVAs going forward.”

    PRESS RELEASE

Schulte Represents Engine No. 1 in Historic Activist Victory Against Exxon Mobil

    June 2021

    Read time: 3 min

Schulte successfully represented Engine No. 1 in the largest activist proxy fight in history, securing three seats on the Board of Directors of Exxon Mobil Corporation after a contentious high-profile campaign. This activist campaign’s significant focus on climate and environmental concerns has been hailed as groundbreaking and highlighted the importance of social responsibility to a company’s long term success. Engine No. 1 is a diversified investment firm that strives to create sustainable, long-term value by driving positive impact through active engagement. The campaign victory was a watershed moment as Engine No. 1, a new firm that only owned around 0.02% of shares, went against Exxon Mobil, a global behemoth with a market capitalization of about $250 billion and a significantly sized retail shareholder base that typically supported management. Engine No. 1’s ESG-focused campaign received public support from many large pension funds, won the backing of all of the leading proxy advisors, and led to the election of three of Engine No. 1’s independent nominees to the Exxon Mobil Board.

The Schulte team representing Engine No. 1 was led by Ele Klein, Schulte partner, chair of the M&A and Securities Group and co-chair of the global Shareholder Activism Group, and included associates Brandon Gold, Danny Goldstein, Abraham Schwartz and Byung Hee (Erik) Son. The team also included litigation partner Michael Swartz, special counsel Randall Adams and associates Noah Gillespie, Michael Periatt and former Schulte lawyers Zachary Jones and Kristin Lasak.

GLAS Appointed On DTEK Group’s $2bn Restructuring By Way Of Two Schemes Of Arrangement

    June 1, 2021

    Read time: 5 min

GLAS Specialist Services Limited was appointed to act as Lock-Up, Information and Tabulation Agent in connection with the restructuring of DTEK Group’s financial indebtedness of approximately USD 2 billion.

The lock-up process commenced in late March 2021. The company implemented the restructuring of its existing bank facilities and bond debt in May 2021 by way of two inter-conditional UK schemes of arrangement under Part 26 of the Companies Act 2006. The schemes of arrangement were sanctioned on 13 May 2021 following unanimous approval by the creditors who attended and voted at the creditor meetings. The restructuring completed on 17 May 2021 and enabled DTEK Group to exchange its existing bank facilities and bond debt of approximately $2 billion for two new notes issuances by DTEK Group companies.

DTEK is the largest private investor in Ukraine’s energy sector.

GLAS also participated and effected the restructuring in its roles as Agent in respect of certain of the previous bank facilities, Trustee in respect of the previous notes, and as Security Agent. GLAS was also appointed as Trustee and Security Agent in respect of the two new notes issuances.

The GLAS deal team comprised Mia Drennan, Joanne Brooks, Natasha Chan (Restructuring & Insolvency), Paul Cattermole, Katie Lacey and Aric Kay-Russell (Liability Management and Trustee & Escrow Services), Paul Fletcher (Transaction Management Group), Anthony Tran (Client Services), and Georgios Vrentzos and Shahaana Kulendran (Business Solutions).

Joanne Brooks, GLAS Head of UK and Europe, says, “We are thrilled to have been a part of this landmark transaction alongside the McDermott Will & Emery team. We look forward to continuing our strong relationship.”

GLAS was advised by McDermott Will & Emery UK LLP, specifically by partners Mark Fennessy, Sunay Radia and Mark Fine, and associates Alexander Andronikou and Giulia Venanzoni.

Mark Fennessy, Head of Restructuring at McDermott London says, “At McDermott we continue to develop a leading brand for complex cross-border restructurings and special situations. Working with the excellent GLAS team and with key stakeholders on the DTEK restructuring through two Part 26 schemes of arrangement reflects the type of mandate that our international restructuring practice is built to handle.”

Sunay Radia, partner in the restructuring team at McDermott London added, “We have been cooperating with the first-rate team at GLAS on many cross-border matters and DTEK is a prime example of the type of complex restructuring projects we successfully deliver together. We are looking forward to continuing to apply our joint experience and helping businesses in this challenging and fast-moving market.”
