McDermott berät Atruvia beim Zusammenschluss von Verimi und Yes

Frankfurt a.M., 29. November 2022 – McDermott Will & Emery hat die Atruvia AG bei dem Zusammenschluss der Ident- & ID-Wallet-Dienstleister Verimi und Yes beraten.
Atruvia wird gemeinsam mit der DZ Bank und weiteren Finanzinstituten zu den insgesamt 25 Anteilseignern der neuen Gesellschaft gehören. Ziel des Zusammenschlusses ist es, die Kräfte zum Ausbau eines Ökosystems digitaler Identitäten in Deutschland zu bündeln.
Das ID-Portal Yes.com ist ein Projekt, das unter anderem von den Sparkassen, Volksbanken und Raiffeisenbanken getragen wird. Die Verimi GmbH wird bislang unter anderen durch die Allianz und die Deutsche Bank sowie Unternehmen wie Axel Springer, die Bundesdruckerei, Volkswagen, Mercedes-Benz, Deutsche Bahn und Lufthansa gehalten.
Über die Infrastruktur der beiden Anbieter wurden im Jahr 2022 weit über 10 Millionen Transaktionen abgewickelt.
Die Atruvia AG ist der Digitalisierungspartner in der Genossenschaftlichen FinanzGruppe. Das Unternehmen beschäftigt über 4.800 Mitarbeiter und erzielte im Jahr 2021 einen Umsatz von 1,31 Mrd. Euro.

Der von VALUES Real Estate für einen institutionellen Investor erworbene „Industriepalast“ befindet sich im historischen Graphischen Viertel in direkter Nähe zum Leipziger Hauptbahnhof. Hauptmieter ist die Deutsche Bahn, die 70% der Flächen mietet. Der Industriepalast wurde 1913 errichtet und war seit Beginn Firmensitz für namhafte Unternehmen.

Cross-Border McDermott Team Represents Campari in its $600 Million Purchase of Wilderness Trail Distillery

International law firm McDermott Will & Emery represented Campari Group, an Italian spirits group with a portfolio of over 50 premium and super-premium brands, in its purchase and tax financing of an initial 70% interest – with an option to acquire the remaining 30% interest at the start of 2031 – of the outstanding capital of Wilderness Trail Distillery, LLC, a ‘premium craft distillery’ with a focus on making the highest quality bourbon and rye whiskey. The deal implies a current enterprise value of $600 million for 100% of the outstanding equity of Wilderness Trail.
The initial transaction, which is subject to customary closing conditions, is expected to close before the end of 2022.
With this acquisition, bourbon is primed to become the second major leg of the Campari Group, following aperitifs. Wilderness Trail’s super-premium bourbon and rye whiskey brand will further strengthen the Campari Group’s brand portfolio leveraging one of the fastest-growing spirit categories in the core US market.

The lead investor in the round was BroadVision Group, a US-based asset management company led by Silicon Valley serial entrepreneur Pehong Chen, former CEO of BroadVision, Inc. (Nasdaq: BVSN), a renowned listed company at the forefront of e-commerce and content management solutions.

Upon closing, Zoomcar will become a publicly listed company renamed Zoomcar Holdings, Inc. and expects to list its common stock on Nasdaq. The transaction values the combined company at an implied pro forma enterprise value of approximately $456 million at $10.00 per share.
The transaction was announced on October 13, 2022 and is expected to close in the first half of 2023, subject to customary closing conditions.
