McDermott Comment | Pandemic Impact: Another 100,000 UK Businesses Tumble Into Financial Distress

    April 22, 2021

Aymen Mahmoud, partner at law firm McDermott Will & Emery, said:

“Whilst financial distress on its face appeared to be at pre-2009 levels during the pandemic, the market has long anticipated a sharp increase in these situations. As government intervention is unwound and businesses adjust to new norms, we can expect continued difficulty even in the most resilient sectors and particularly among smaller or lower-margin businesses less able to sustain prolonged periods of difficulty. Conversely, these levels of distress usually create opportunistic M&A, consolidation and new and creative ways of transacting.”

McDermott Will & Emery today announced the addition of Simon Airey to its growing Dispute Resolution practice in London. Simon’s appointment further enhances the Firm’s litigation and investigations proposition in the UK and globally.

Simon specialises in global investigations, financial and regulatory crime, bribery and corruption, money laundering, tax and fraud inquiries, data breaches, dawn raids and corporate compliance issues. He has conducted a wide range of litigation and investigations in many different sectors, including construction, defence, financial services, gambling, oil and gas, logistics, pharmaceuticals and telecommunications. He represents both companies and individuals in criminal and regulatory proceedings and in associated litigation.

“Any period of economic instability invariably generates a wide range of disputes as well as regulatory-driven contentious matters,” said David S. Rosenbloom, global head of McDermott’s Litigation Practice Group. “We assist clients in reducing the cost, delay and uncertainty associated with complex disputes. Our aim is to protect and enhance their business and guide them towards long-term success. Simon’s broad experience and successful track record in dealing with some of the most challenging issues in this space will greatly enhance our strong global investigations capability and help meet this growing client demand head on.”

Simon’s portfolio of high-profile matters includes advising several listed companies in connection with criminal and regulatory investigations and a large number of multinational groups in relation to their global compliance programmes. He assisted in the recent acquittal of a defendant in a major bribery trial in Milan relating to the OPL 245 oil block in Nigeria and is currently representing several high-profile individuals in connection with various criminal and regulatory issues in the UK. He assists clients with corporate risk assessments and pre- and post- M&A due diligence. Simon conducts tailored training for boards and senior management and has lectured around the world on a range of topics including the UK Bribery Act and the facilitation of tax evasion provisions of the UK Criminal Finances Act.

“This is a significant step in the expansion of our London offering and fits directly with our strategic areas of international growth,” said Hamid Yunis, McDermott’s London Managing Partner. “Simon’s litigation and investigations experience will provide further firepower to our successful and growing Dispute Resolution group. Having previously practised as a barrister for many years, his clients will benefit from a forensic and strategic approach to dispute resolution and sophisticated advice in navigating the complexities of regulatory investigations, cross border disputes and corporate compliance issues. His commercial approach to problem solving is fully in line with the Firm’s objective of helping clients to achieve progress against their business goals.”

In addition to leading various major tax, fraud and bribery investigations, Simon has recently defended multi-party litigation in relation to a significant data breach in the UK, dealt with an FCA investigation relating to a global payment services provider and represented a high-profile individual in relation to a multi-million pound D&O insurance dispute in the context of a U.S. DoJ prosecution. He has also advised a foreign government in relation to various tax and transparency issues and represented over 50 financial institutions served with data production orders by HM Revenue & Customs in the UK.

“I am very excited to be joining McDermott, particularly at a time of such intense regulatory activity around the world. McDermott’s multi-disciplinary, cross border approach to investigations and a sophisticated, team-based approach to client service means that they are perfectly positioned to assist clients in navigating these challenges. Their strong international network and dynamic dispute resolution practice provides an excellent platform for serving the most demanding clients. PRESS RELEASE

SolomonSimmonsLaw and Schulte Roth & Zabel Send Cease-and-Desist Letter on Behalf of 1921 Tulsa Race Massacre Survivor Lessie Benningfield “Mother” Randle

    April 14, 2021

    Read time: 5 min

Tulsa-based civil and human rights attorney Damario Solomon-Simmons of SolomonSimmonsLaw and Schulte Roth & Zabel LLP (SRZ) have sent a cease-and-desist letter to the 1921 Tulsa Race Massacre Centennial Commission (“Commission”) on behalf of Lessie Benningfield “Mother” Randle.

Solomon-Simmons, SRZ and a team of civil and human rights lawyers represent the only known survivors of the Tulsa Race Massacre, 106-year-old Mother Randle, 106-year-old Viola “Mother” Fletcher and 100-year-old Hughes Van Ellis, who are still awaiting justice for Greenwood nearly a century after the brutal attack. The cease-and-desist letter is the latest legal action to help provide healing and justice to the survivors and descendants of the 1921 Tulsa Race Massacre.

On March 23, 2021, Phil Armstrong, Project Director for the Commission, participated as a panelist for an event entitled “Better Conversations — Reconciliation, Resilience and Public Memory,” hosted by the Oklahoma City National Memorial & Museum. While describing the experience that visitors would have at Greenwood Rising, a history center being built by the Commission, Armstrong expressly referenced Mother Randle, stating “ … she’s affectionately called Mother Randle and she’s what we know as the last known living survivor in Tulsa, and I think there may be another, but unfortunately you know we’re at that point where … I think she’s 106 years old, but we are dedicating much of this work to their lives.”

Mother Randle not only has no association with the Commission, or the Greenwood Rising project, but the Commission expressly refused to meet with Mother Randle and her representatives despite repeated requests to do so. The Commission did not allow Mother Randle (or any living survivor) any input regarding the formation, membership or goals of the Commission when it was founded. The Commission has not discussed with Mother Randle how she feels about the Commission’s narratives that “Greenwood is Rising,” “Tulsa Triumphs” or that “Tulsa is leading America’s journey to racial healing,” while Mother Randle still lives in poverty because of the Massacre and its continued harm. By invoking Mother Randle’s name without her consent and stating that the Greenwood Rising project is “dedicated” to her, the Commission creates the false impression that they support Mother Randle’s quest for justice and that she is a direct beneficiary of the Commission’s work.

“My family and I were shocked to hear that the Commission is ‘dedicating’ much of their work to me since they have refused to meet with me, did not allow me an opportunity to participate in the Commission’s planning, and declined to enter discussions on how, a living survivor of the Massacre, feels about their activities around the Centennial.” Mother Randle said. “However, my family and I still invite the Commission to meet to discuss how the Commission could tangibly support me and the other two known survivors who have waited 100 years for justice.”

On May 31, 1921, one of the worst acts of domestic terrorism in U.S. history completely decimated Tulsa’s thriving, all-Black community of Greenwood. A large white mob, including members of the Tulsa Police Department, the Tulsa Chamber of Commerce, the Tulsa County Sheriff’s Department and the Oklahoma National Guard, as well as other city and county leaders, overwhelmed the approximately 40-square-block community, killing hundreds of Black residents, injuring thousands more, burning down over one thousand homes and businesses and stealing residents’ personal property.

In the litigation related to the Massacre, an amended petition filed in February 2021 seeks to abate the public nuisance of racial disparities, economic inequalities, insecurity and trauma that the City of Tulsa’s unlawful actions and omissions caused and continue to cause, and aims to return the Greenwood District, once known as Black Wall Street, back to the prosperous area it was prior to the devastating events of May 1921. In May 2020, Human Rights Watch published a groundbreaking report documenting the impact of the Tulsa Race Massacre and the systemic racism that followed, and called for reparations. Today, this area still remains poorer and in worse health than the rest of the city. SolomonSimmons Law, in conjunction with Schulte Roth & Zabel LLP; J. Spencer Bryan and Steven Terrill of BryanTerrill, P.C.; Professor Eric Miller of Loyola Marymount College of Law; and Maynard M. Henry, Sr., Lashandra Peoples-Johnson and Cordal Cephas of Johnson Cephas Law PLLC, are working to not only secure justice for survivors and descendants of the massacre, but also to raise attention to the 100 years of continued harm the Tulsa Race Massacre has caused Black Tulsans.

    PRESS RELEASE

McDermott Defeats Motion to Dismiss on Behalf of Fashion Client Honey Bum

    April 7, 2021

    Read time: 4 min

International law firm McDermott Will & Emery represented emerging fast fashion client Honey Bum, defeating a motion to dismiss in a case alleging that an established competitor orchestrated a vendor boycott in violation of the Sherman Act. The motion upholds a Section 1 conspiracy claim against the defendant Fashion Nova.

On March 26, 2021, a judge in the federal District Court for the Central District of California denied a motion to dismiss by Fashion Nova, ruling that McDermott client Honey Bum had “adequately pled a claim for per se violation of Section 1 of the Sherman Act based on a theory of a group boycott carried out pursuant to a conspiracy.” (Honey Bum v. Fashion Nova (C.D.Cal.) 2:20-cv-11233-RGK-AS)

“Together with our client, we are pleased with this outcome and look forward to following this case through to hold the defendant fully liable,” Michelle Lowery, lead antitrust partner in the case, said. “This case provides important safeguards for market entrants from entrenched monopolists and protects an emerging fast fashion industry in the Los Angeles area.”

Honey Bum, a new player in the fast fashion industry in the Los Angeles area, is a direct competitor to the well-known and well-established Fashion Nova. Rather than compete with Honey Bum on price and quality, starting in 2017, Fashion Nova began inciting a group boycott of Honey Bum. Specifically, Fashion Nova began communicating to key “must-have” LA vendors that if they did not cease business Honey Bum, Fashion Nova would no longer order from them.

As a result of the group boycott Fashion Nova constructed, Honey Bum’s revenue declined significantly. McDermott filed a complaint against Fashion Nova on behalf of Honey Bum, alleging violations of the Sherman antitrust act and business tort violations.

Fashion Nova promptly moved to dismiss. On March 26, 2021 the Court denied Fashion Nova’s motion to dismiss in part, maintaining Honey Bum’s group boycott and business tort claims against Fashion Nova. Fashion Nova is now potentially liable for compensatory, treble, and punitive damages as well as attorneys’ fees.

The McDermott team was led by Michelle Lowery and Jeffery McFarland and included Grant Maxwell, Sarah Hogarth and Alexandra Lewis.
