Gary B. Rosenbaum counsels clients on all types of finance transactions, including private equity and mezzanine investments, out-of-court debt workouts and restructurings, cross-border lending transactions, and venture lending financings.
Gary advises various financial institutions, as well as borrowers and issuers, in structuring, negotiating, and documenting leveraged finance transactions in a broad range of industries, including healthcare, life sciences, telecommunications, internet and other technology fields, retail stores, food and beverage products, and manufacturing. He also has substantial experience representing private equity firms and their portfolio companies in acquisition credit facilities, leveraged dividend transactions, and an array of other financings.
While in law school, Gary was a member of the UCLA Law Review and a member of its board of editors.
- Represented Comvest Partners, an operationally focused middle-market private investment firm, in the syndicated acquisition financing that enabled Comvest to purchase Your Behavioral Health, a behavioral health services platform based in Torrance, California
- Represented MidCap Financial Services, as administrative agent for a syndicate of lenders, with a senior secured credit facility provided to Blue Wolf Capital, a New York-based private equity firm, to enable Blue Wolf to acquire RHA Health Services, LLC and several of its affiliates from Formation Capital and Safanad Ltd.
- Represented Oxford Finance, LLC, a specialty lender focused in the life sciences and healthcare sectors, as a lender and administrative agent in the negotiation and documentation of a $137.5 million senior secured credit facility provided to Apotheco Pharmacy, a portfolio company of Waud Capital, the proceeds of which were used to finance the Apotheco’s acquisition of several California-based dermatology-focused pharmacies
