Will Plews-Ogan

Will Plews-Ogan focuses his practice on energy and infrastructure project finance, development, and advisory matters. He represents sponsors and lenders in tax equity, debt finance, bond finance, private placements/private credit, project development documents, mergers and acquisitions (M&A), and general corporate matters, particularly those involving renewable energy.

During law school, Will served as an editor for the Columbia Journal of Environmental Law and the Science & Technology Law Review.

Renewable energy project finance

• Represented lenders in the debt financing of the largest renewable energy transaction in US history*
• Represented banks and note purchasers in a range of utility-scale battery storage, solar, hydrogen, fuel cell, and natural gas power projects with debt financing and private placement facilities*

Public-private partnerships (PPP)/infrastructure finance

• Represented lenders in the largest PPP bond financing to date in the US market*
• Represented a lender in a portfolio transaction involving a suite of small airports*
• Represented lenders in debt financing for electricity transmission infrastructure*

M&A, refinancings, and other corporate matters

• Represented lenders in the refinancing of a portfolio of solar and wind projects*
• Represented a purchaser in its acquisition of a large portfolio of wind and solar projects across the United States*

Project finance insurance

• Advised clients on production insurance policies for new alternative energy project technologies*

Project finance tax

• Assisted clients with novel tax credit questions under the Inflation Reduction Act of 2022*
• Supported a client with their tax credit transfer and sale agreement*
