Schulte advises ad hoc noteholder group in successful amendment of Veradigm bonds

Schulte Roth & Zabel represented an ad hoc group of holders of Veradigm Inc.’s 2027 convertible notes in the successful amendment of the notes that, among other things, provides for biannual repurchase rights at the holders’ option and provides accreting value for notes purchased upon the occurrence of certain events.  

The transaction was led by Schulte Business Reorganization partner Kristine Manoukian and M&A and Securities partner David Curtiss. The full Schulte team included partners Bill Gussman and Joseph Reich, special counsel Saarah Woodby, and associates George Rowe and Robert Brown.
