McDermott Will & Schulte advised Schneider Electric, a global leader in energy technologies, on the tax aspects of a definitive agreement to acquire PTC, a leading provider of software for the design of complex industrial products, engineering, and data management, for a price of 22.6 billion USD.

This strategic transaction marks a new step in Schneider Electric’s ambition to play a leading role in the new era of energy and industrial intelligence, creating one of the industry’s most comprehensive software and AI divisions.

The transaction, approved by the boards of directors of both companies, is expected to be completed by the third quarter of 2027, subject to the satisfaction of customary closing conditions.
