McDermott Represents Woodland Midstream II (“Woodland”) in Connection with Woodland’s Execution of a Definitive Agreement to Sell Certain Subsidiaries to DCP James Lake Holding LLC for $160 Million

International law firm McDermott Will & Emery represented Woodland Midstream II, LLC (“Woodland”), a portfolio company of Texas-based private equity firm EIV Capital, LLC, in connection with Woodland’s execution of a Membership Interest Purchase Agreement to sell certain subsidiaries of Woodland that own and operate Permian Basin gas gathering and processing assets to DCP James Lake Holding LLC, a subsidiary of DCP Midstream, LP.  The transaction is valued at $160 million, subject to certain customary adjustments.

• The transaction was announced on June 14, 2022 and is expected to close in the third quarter of 2022, subject to customary regulatory approvals.
