On the same day, the European Commission released its own FAQ to clarify how asset managers subject to MiFID II research provisions can purchase research services from US and other non-EU broker-dealers. In this article, partners Julian Rainero, Marc Elovitz, Anna Maleva-Otto and former Schulte lawyer Brian Daly detail the temporary relief that will be provided and discuss how to navigate the coming changes.

Stephen Kranz and Diann Smith addressed South Dakota’s certiorari petition asking the US Supreme Court to hear a case that could overturn the Quill state tax nexus standard. “The petition uses the idea of congressional legislation as a possible out as a reason why the Court should accept the case now,” Ms. Smith noted, while Mr. Kranz added that “there’s a good chance this case gets taken. And there’s a much lower chance Congress does anything in the meantime,” resulting in a “fair number” of possible outcomes.

Stephen Kranz, addressing possible federal elimination of the state & local tax deduction, said, “I’m just not convinced that the politics on this deduction are as simple as red versus blue states given there are taxpayers in every state who itemize for a variety of reasons.” Diann Smith suggested that the final result “will shake out based on whether, on balance, the rate reductions offset any lack of deductions for the state and local tax. Part of the challenge will be the messaging beforehand regarding what the net effect will be.”

A divided panel of the U.S. Court of Appeals for the Second Circuit issued another in a series of important insider trading decisions regarding the personal benefit requirement in the context of gifting confidential information, sustaining the conviction of a former portfolio manager. In doing so, the panel expressly overruled a significant aspect of the Court’s 2014 decision in United States v. Newman, holding that a “meaningfully close personal relationship” was no longer required, at least in the Second Circuit, to prove both civil and criminal insider trading when a tipper makes a gift of material, non-public information. In this article, partners Harry Davis, Marc Elovitz, David Momborquette, Gary Stein, Peter White and associate Mark Garibyan discuss the decisions and its practical implications.

Stephen Kranz and Diann Smith discussed a proposed bill to limit state taxation of interstate commerce to activity conducted by entities with physical presence. Mr. Kranz said the bill “goes the opposite direction from [other proposals] that would have created a federal framework for remote sales tax collection,” while Ms. Smith cautioned that “we can’t really anticipate what such legislation would really mean 20, 50 years down the road. I think that is always a problem with legislation that’s this broad.”

Stephen Kranz, M. Miller Baker and Diann Smith represent three major oil companies in an administrative judge’s hearing of their complaint about third-party transfer pricing software used by the DC Office of Tax and Revenue to assess tax liabilities against the companies. The software is “not scientific, it’s not fact-based” argued Mr. Kranz, noting “there was no analysis of the taxpayer’s books and records. There was no audit in the traditional sense.”
