The European Union is introducing a new filing requirement alongside anti-trust from October 2023. The Foreign Subsidies Regulation (FSR) may impact your portfolio company if it has revenue in the EU and received subsidies from anywhere outside the EU.
In a nutshell, the FSR introduces a new regulatory hurdle for M&A transactions in the European Union, in addition to merger control rules and foreign direct investment screening. The FSR’s impact cannot be overstated as it introduces mandatory pre-closing filing regimes for M&A transactions but also for public procurement procedures.
