The fund will provide capital for early- and later-stage projects focused on data-aggregating decentralized autonomous organizations, open finance, Web3 infrastructure and consumer social opportunities, among other initiatives.

International law firm McDermott Will & Emery represented Wentworth Management Services LLC (Wentworth), a holding company that acquires and manages businesses in the wealth management industry, in a business combination agreement with Kingswood Acquisition Corp. (KWAC), a blank check company. The merger will create Binah Capital Group, Inc., where Wentworth and KWAC will become wholly owned subsidiaries.
- The transaction was announced July 7, 2022, and is expected to close in the fourth quarter of 2022, subject to customary closing requirements.
- This deal allows Wentworth to go public, giving them access to public equity markets.
- The combined entity is expected to encompass over 1,900 advisors, $25 billion in assets under management and over $285 billion in affiliated assets under management. The combined company will have a pro forma enterprise value of $208 million.

Frankfurt a.M., 7. Juli 2022 – McDermott Will & Emery hat die polnische Ryvu Therapeutics S.A. beim Abschluss einer exklusiven Lizenzkooperation mit dem US-amerikanischen Arzneimittelforschungsunternehmen Exelixis, Inc. beraten.
Ryvu vergibt an Exelixis eine Lizenz für seine STING-Technologie (STimulator of INterferon Genes) mit dem Ziel der Entwicklung neuartiger Krebstherapien. Exelixis erweitert durch die Lizenzvereinbarung ihr Biotherapeutika-Portfolio.
Im Rahmen der Vereinbarung zahlt Exelixis an Ryvu eine Vorauszahlung in Höhe von drei Millionen US-Dollar und erhält im Gegenzug bestimmte Rechte an den Molekülen des STING-Agonisten von Ryvu. Ryvu stellt zudem fachliche Beratung und Know-how zur Verfügung und hat Anspruch auf Meilensteinzahlungen für Entwicklung, Zulassung und Vermarktung sowie auf gestaffelte Lizenzgebühren auf den jährlichen Nettoumsatz aller Produkte, die im Rahmen der Zusammenarbeit erfolgreich vermarktet werden.

International law firm McDermott Will & Emery is pleased to announce the opening of a new office in Austin, Texas, with a team of eight intellectual property (IP) partners: Kevin Meek, Syed Fareed, Stephen Hash, Paula Heyman, Brian Oaks, Margaret Sampson, Nick Schuneman and Brett Thompsen.

- The deal values Excelera at $459 million, the companies said, adding it is expected to provide up to $282 million to accelerate expansion of Excelera’s network.
