McDermott Will & Schulte announced that Lauren Dalton is joining the Firm as a partner in its Transactions Practice Group in New York, expanding the Firm’s insurance regulatory, reinsurance and insurance M&A capabilities at a time when insurers, reinsurers, asset managers and financial institutions are contending with a more active and structurally demanding deal environment.

Lauren advises on regulatory and transactional matters in the insurance industry, including reinsurance arrangements, mergers and acquisitions and related corporate issues. Her arrival adds further depth to McDermott’ s insurance practice, particularly with respect to the purchase and sale of insurance companies and blocks of insurance and reinsurance business, alternative risk financing structures, restructurings, captive insurer formations and cross-border engagement with US and non-US insurance regulators.

“Lauren brings exactly the kind of insurance regulatory and transactional experience our clients need right now,” said Michael Halsband, Insurance Group Lead. “Insurers and investors are using M&A, reinsurance and capital solutions to reshape their businesses, manage risk and unlock growth. Lauren has worked through those issues alongside significant market participants, and she has the judgment, technical command and commercial instinct to help clients close complex transactions.”

“McDermott has built an insurance practice with real traction, an entrepreneurial culture and a strong foundation for transactional and regulatory work of genuine complexity,” said Lauren. “The insurance sector is changing rapidly, and clients need counsel who can connect the regulatory details to the larger business objective. I’m excited to join a team that is collaborative and focused on helping insurers, reinsurers, asset managers and financial institutions get transactions done.”

Lauren’s practice includes the negotiation and preparation of property and casualty and life reinsurance agreements, trust agreements and administrative services agreements; formation of captive insurers; analysis and preparation of regulatory filings for bulk reinsurance, assumption reinsurance, holding company act and captive approvals across all 50 states; and applications for reinsurers seeking reduced collateral posting requirements, including Reciprocal Jurisdiction Reinsurer and Accredited Reinsurer recognition. She also advises on licensing issues for domestic, foreign and alien insurers, monitors insurance and reinsurance-related developments at the NAIC and has experience with regulatory matters connected to credit for reinsurance.

Lauren has advised clients across a wide range of insurance matters in the life and property and casualty sectors and the non-admitted/ surplus lines market. Her experience spans work for insurers, reinsurers, private equity funds and asset managers.
