Caroline Samuelson focuses her practice on corporate advisory matters, particularly work involving capital markets and public companies. She has extensive experience drafting public securities documents relating to a broad range of capital markets activities.

Caroline represents public and private companies in connection with various securities transactions, including initial public offerings (IPOs), issuer and third-party tender offers, private placements (including private investment in public equities (PIPEs)), registered direct offerings, and Rule 144A offerings of debt and convertible debt. She also handles matters involving stock exchange listing, compliance with the Securities Exchange Act of 1934, corporate governance, and executive compensation disclosure.
