Michael (Mike) T. Nowicki focuses his practice on complex mergers and acquisitions (M&A), primarily in the healthcare industry. He represents private equity sponsors, founder-backed businesses, hospitals, health systems, physician practices, management services organizations (MSOs), and nonprofit organizations in various strategic transactions, including M&A, divestitures, joint ventures, affiliations, minority investments, partnerships, recapitalizations, and restructurings. To date, he has advised on completed transactions with an aggregate value exceeding $90 billion.

Mike is a trusted advisor to boards of directors and executive management teams. His broader corporate practice includes advising on taxable and tax-exempt bond offerings, equity issuances, and other securities law matters, as well as general corporate governance matters.

Healthcare M&A and strategic transactions
  • Represented Geisinger Health in its affiliation with Kaiser Permanente, under which Geisinger became the founding health system of Risant Health
  • Represented Steward Health Care in its Chapter 11 restructuring, which was among the largest healthcare-provider bankruptcies in US history and involved more than $9 billion in liabilities and the sale of 29 hospitals across eight states
  • Represented WindRose Health Investors in various matters, including its:
    • Acquisition of Dragonfly Health (formerly StateServ Medical), a provider of durable medical equipment benefit-management solutions to the post-acute care market
    • Acquisition of Workplace Options, a global provider of integrated employee-wellbeing solutions
    • Acquisition of Avalon Healthcare Solutions, a clinically driven diagnostic benefit management platform
    • Sale of Workplace Options in a transaction valued at approximately $425 million
  • Represented Curation Health, a value-based care clinical decision support platform, in its sale to Reveleer
  • Represented Blue Sea Capital in various matters, including its acquisition of SIMKO Specialty Dental to form Specialty Smile Partners, a multistate orthodontics and pediatric dentistry MSO
