Mandeep S. Kalra focuses his practice on corporate advisory and transactional matters, with an emphasis on capital markets transactions and public company representation. He has extensive experience drafting public securities and corporate governance documents relating to a broad range of capital markets activities and regulatory requirements.
Mandeep represents domestic and international issuers and underwriters in connection with equity and debt securities offerings, including registered offerings, at-the-market (ATM) offerings, private placements (including private investments in public equity (PIPEs)), and Rule 144A/Reg S offerings.
In addition, Mandeep counsels public companies on Securities Exchange Act of 1934 reporting and stock exchange compliance matters.. He advises corporate clients with respect to their governance obligations under federal securities laws and exchange listing standards. Mandeep also has experience advising both lenders and borrowers on credit facility transactions.
During law school, Mandeep served as an editor of the Columbia Law Review as well as Co-President of the South Asian Law Students Association.
