Adria M. Crowe focuses her practice on complex employee benefits matters arising in corporate transactions, including mergers and acquisitions (M&A), spinoffs, divestitures, joint ventures, and restructurings.
Adria counsels clients on transaction-related issues involving qualified retirement plans – such as defined benefit pension plan funding and multiemployer withdrawal liability – as well as health and welfare benefits. Her experience includes representing private equity sponsors and strategic buyers in corporate transactions. Drawing on her considerable experience as underwriting counsel for transactional risk insurance, Adria tailors her approach to each client and advises on heightened risk areas across a range of industries and deal types. She also guides clients through the full lifecycle of insured transactions, including buyout M&A, real estate, and secondaries.
Additionally, Adria advises on post-closing employee benefits integration, Affordable Care Act compliance obligations, and other federal and state laws and regulations relating to retirement and health and welfare benefit plans. She counsels clients on qualified retirement plan matters, including complex testing requirements, and represents them before the Internal Revenue Service for corrections pursuant to its Employee Plans Compliance Resolution System.
