London, 2 July 2026 – International law firm McDermott Will & Schulte advised Pacific Avenue Capital Partners (Pacific Avenue), a global private equity firm focused on corporate carve-outs and other complex transactions in the middle market, on the financing aspects of its acquisition of ESE World (ESE) from Amcor, one of the world’s leading packaging companies. The transaction was funded through a combination of equity and a unitranche financing.

ESE is a leading European manufacturer of waste and recycling container systems, generating approximately €300 million in revenues, with operating platforms in France, Germany and the Netherlands.

This was a complex, cross-border financing spanning multiple European jurisdictions, with the McDermott team navigating the structuring and standalone financing considerations arising from the carve-out from Amcor. Executed on a tight timeline across France, Germany and the Netherlands, the deal underscores McDermott’s ability to deliver complex financing structures for private equity sponsors.
