McDermott advises NORD Holding and 1Q Health Group on the acquisition of Gelpell AG

With a team led by Holger Ebersberger and Thomas Diekmann, McDermott Will & Schulte has represented funds advised by NORD Holding and its portfolio company 1Q Health Group on the acquisition of Swiss-based Gelpell AG, a specialist in the development and contract manufacturing of softgel, hard and vegetarian capsules.

Based in Switzerland, Gelpell provides a full-service offering covering product development, contract manufacturing, regulatory support, packaging solutions and flexible batch sizes. The company has particular expertise in softgel technology, including its patented GELPELL Beads technology.

1Q Health Group is a leading European CDMO and development partner for premium pharmaceuticals and dietary supplements. The acquisition further strengthens the group’s footprint across the DACH region and expands its portfolio with softgel technology, a highly sophisticated and attractive dosage form. In addition, former owners Kristina Edvinsson and Tomas Edvinsson, as well as CEO Thomas Jager, will become shareholders of 1Q Health Group.

NORD Holding is a private equity and asset management company with approximately €4 billion in assets under management.

McDermott already advised NORD Holding on the acquisition of ABJ alive GmbH and HKS health solutions, which formed the 1Q Health Group, as well as on subsequent add-on transactions for the platform – the acquisition of VivaCell Biotechnology GmbH, Beauty Production GmbH, EHF Production B.V. and now Gelpell AG.
