McDermott advises OpenGate Capital on acquisition of Maersk Training

Global law firm McDermott Will & Schulte advised OpenGate Capital on its carve-out acquisition of Maersk Training A/S (including its subsidiary Maersk H2S Safety Services) from A.P. Møller – Mærsk A/S.

Maersk Training is a global provider of two core business lines: (i) specialised training, competence development and safety services, supporting customers across industries including energy, maritime, renewables and logistics, and through (ii) Maersk H2S Safety Services, providing gas detection and safety services to the offshore and onshore energy industries.

OpenGate Capital is a global private equity firm specialising in the acquisition and operation of businesses across Europe and North America. The acquisition will add an established global training and safety services business with a more than 40-year track record to OpenGate Capital’s portfolio.

The multidisciplinary, cross-border McDermott team was led by partner and European Head of Finance Aymen Mahmoud, alongside partner Fatema Orjela. The team also included counsel Giulia Venanzoni, senior associate Ronak Thakkar, and associates Arjun Sehgal, Raees Khan and Bethany Drayton. The transaction reflects McDermott’s integrated cross-border M&A and finance platform and deep experience advising on complex private equity and corporate carve-out transactions.
