McDermott Will & Schulte advises Galiena Capital on the creation of Flore Group

McDermott Will & Schulte advised Galiena Capital on the takeover of the Thomas Plants group, carried out as part of a second-stage leveraged buyout (LBO) accompanied by the acquisition of Tecnosem.
This transaction marks a new stage in the development of Thomas Plants, a leading player in the French vegetable seedling market, and leads to the creation of the Flore Group, bringing together complementary production platforms located at the heart of France’s main vegetable-growing regions.
Alongside Galiena Capital, the long-standing shareholders of Thomas Plants — Trajan Capital, Halisol Groupe, Cèdre and Enthéos — are reinvesting in the new entity and will remain minority shareholders. Nicolas Paul, the group’s CEO, will continue to hold a stake in and lead the Flore Group to support the company’s next phase of development. Bpifrance is also joining the shareholder base as part of this transaction.
