Overview
Alex Jupp focuses his practice on the tax aspects of UK and cross-border acquisitions, financings, restructurings and asset management structures. He is equally highly regarded by clients for his work resolving complex tax disputes, in managing engagements with tax authorities and in strategic tax planning in particular for multinational corporations and investment groups. Alex has significant experience advising on the tax aspects of acquisitions and integrations, redomiciliation transactions, restructurings, capital raises, equity and debt offerings, management equity plans, fund formation, the design of group holding structures and joint ventures, real estate investment structuring, in addition to tax authority enquiries, pricing arrangements, mutual agreement procedures and more.
Previously, Alex was a partner in the tax team of an international law firm in London. He is the past chair of the British branch of the International Fiscal Association (IFA) and is also a member of the Law Society of England and Wales’ Tax Law Committee, chairing its Income Tax Subcommittee and serving on the Steering Committee of the Forum on International Tax & Disputes.
Results
- Advised Rubicon Partners on its acquisition of Erodex Graphite Systems Limited (Erodex) from its family shareholders. Erodex represents Rubicon’s 85th industrial investment and the second investment made through Rubicon Partners Fund VI SCSp.
- Advised the founders and other individual shareholders of Rotron Aerospace Ltd, a UK-based advanced defence technology company, on the sale of the business to Ondas Inc., a leading provider of autonomous aerial and ground robot intelligence. The deal was subject to customary regulatory clearances.
- Advised Maire Group on the conclusion and implementation of its joint venture agreements with Newcleo SA. The joint venture, NEXT N, focuses on developing advanced technologies and specialised technical services for the nuclear energy sector.
- Advised JAB on its acquisition of Utmost Life and Pensions.
- Advised on the acquisition of a British supermarket chain, which was named a 2021 Impact Deal of the Year by the International Tax Review.*
- Led work on a cross-border combination that resulted in the team being named Transatlantic Tax Team of the Year by The American Lawyer and Legal Week.*
