Overview
Sebastian Chan focuses his practice on debt financing for investments in energy and infrastructure assets. He regularly advises private equity and infrastructure fund clients, financial institutions, nontraditional lenders, companies, and financial sponsors in the structuring, negotiation, and documentation of debt financing and restructuring transactions. Sebastian’s experience also spans term loan facilities, revolving and letter of credit facilities, construction facilities, bond offerings and private placement notes in leveraged acquisition and back-leveraged finance, project finance, as well as structured finance, securitization, and venture capital finance.
Results
- Represented the lead arrangers in connection with a $2.3 billion Term Loan A, Term Loan B, and Letter of Credit facility for an energy company, as well as the lead arrangers in the $2.3 billion refinancing of such facilities*
- Represented an investment firm and its institutional partners on a definitive agreement to acquire 100% of a world-class midstream asset portfolio for an enterprise value of approximately $9 billion or 9x EBITDA*
- Represented an investing fund in its investment in an energy company, as well as its $300 million investment in an energy project, in connection with the development of a large-scale carbon capture and storage project in the US*
- Represented an investment firm on its strategic investment to a leading provider of fiber broadband services across the Great Plains*
- Represented an investment firm in its investment in an LNG project’s $18.4 billion Phase I development and project financing, as well as its investment in the company’s development and project financing of a fourth and fifth LNG train*
- Represented an energy company in its definitive agreement with technology firm to jointly fund its semiconductor fabrication facility, with investment up to $15 billion for a 49% stake in the technology firm’s manufacturing expansion*
- Represented the acquiring consortium and an investment firm in the financing of the consortium’s approximately $15 billion acquisition of all outstanding shares of common stock of a premier global data center REIT*
- Represented leading investment firm in connection with the signing of definitive documentation to acquire the thermal business of an energy company, for total consideration of $1.9 billion, subject to customary closing adjustments. The company consists of thermal infrastructure assets that provide steam, hot water, and/or chilled water, and in some instances electricity, to commercial businesses, universities, hospitals, and governmental customers across the US*
