Overview
Sebastian Chan focuses his practice on debt financing for investments in energy and infrastructure assets. He regularly advises private equity and infrastructure fund clients, financial institutions, nontraditional lenders, companies, and financial sponsors in the structuring, negotiation, and documentation of debt financing and restructuring transactions. Sebastian’s experience also spans term loan facilities, revolving and letter of credit facilities, construction facilities, bond offerings and private placement notes in leveraged acquisition and back-leveraged finance, project finance, as well as structured finance, securitization, and venture capital finance.
Results
- Represented the lead arrangers in a $2.3 billion Term Loan A, Term Loan B, and Letter of Credit facility for Freeport LNG Investments, LLLP, as well as the lead arrangers in the $2.3 billion refinancing of such facilities*
- Represented Global Infrastructure Partners in its investment in Rio Grande LNG’s $18.4 billion Phase I development and project financing, as well as its investment in the company’s development and project financing of a fourth and fifth LNG train*
- Represented the joint venture between Brookfield Infrastructure and another leading infrastructure fund in connection with back-leveraged financing for its stake in Cheniere Energy Partners, L.P
- Advised the acquiring consortium and KKR in connection with the financing of the consortium’s approximately $15 billion acquisition of all outstanding shares of common stock of CyrusOne Inc., a premier global data center REIT*
- Represented KKR in the financing to acquire the thermal business of Clearway Energy, Inc., for total consideration of approximately $1.9 billion*
- Represented Brookfield Infrastructure Partners L.P. in the financing of its joint venture with Intel Corp. to build Intel’s semiconductor fabrication facility, with investment up to $15 billion for a 49% stake in Intel’s manufacturing expansion*
- Advised Brookfield Infrastructure Partners L.P. in its financing to acquire 100% of the world-class midstream asset portfolio of Colonial Enterprises, which includes the Colonial Pipeline, for an enterprise value of approximately $9 billion or 9x EBITDA*
- Advised TPG Rise Climate in its investment in Monolith Materials, as well as its $300 million investment in Summit Carbon Solutions, which is developing a large-scale carbon capture and storage project in the US*
- Represented Rowan Digital Infrastructure, a leading sustainable hyperscale data center developer owned by Quinbrook Infrastructure Partners, in a $300m corporate credit facility for investment in early-stage development projects, consisting of a term loan and letter of credit facility*
