Dr. Manuel Weiß advises financial investors, private equity and venture capital funds, as well as founders and corporations, on transactions, including cross-border and multi-jurisdictional matters.
He provides comprehensive legal counsel – including sell- and buy-side processes – across all stages of a transaction from the set-up of the acquisition structure and legal due diligence to the drafting and negotiation of the transaction documents (e.g., share and asset purchase agreements, shareholder agreements, and joint venture arrangements) and post-transaction integration. Manuel also has expertise in carve-ins, carve-outs, and reinvestments, including equity and virtual management participation programs.
Manuel frequently advises clients on corporate governance and general corporate law matters. He has extensive experience in sectors such as healthcare and life sciences, technology and software, and industrials and manufacturing.
Prior to joining McDermott Will & Schulte, Manuel worked at another leading international law firm, specializing in private equity and corporate/M&A.
