Nadia Cuppini focuses her practice on banking and financial regulation, including collective asset management, investment and payment services.

Nadia has extensive experience advising Italian and international clients on the structuring, establishment and operation of investment vehicles, with a particular focus on alternative investment funds, including umbrella funds, master-feeder structures, parallel funds and co-investment arrangements across venture capital, private equity, real estate and other alternative asset classes.

Nadia also advises on regulatory compliance and anti-money laundering, as well as on extraordinary transactions involving regulated entities, including AIFMs, banks, investment firms, payment institutions and e-money institutions. Her practice further includes advising clients in their interactions with supervisory authorities, as well as in connection with regulatory investigations and sanctioning proceedings.

Results
  • Advised on the structuring of a cross-border investment platform involving a Luxembourg multi-compartment RAIF (SICAV-SCSp) focused on private equity and venture capital strategies, including fund structuring, negotiation of the contractual arrangements between the Luxembourg AIFM and the Italian advisory company, carried interest structuring, and regulatory advice relating to marketing passport notifications for distribution in Italy and other EU jurisdictions*
  • Advised an Italian AIFM on the structuring and launch of a parallel investment fund focused on Italian investment opportunities, designed to co-invest alongside a primary fund managed by the same AIFM with a global investment strategy, including the negotiation of the fund rules and tailored side letter arrangements with a cornerstone institutional investor*
  • Advised an Italian AIFM on the structuring and establishment of a closed-end alternative investment fund (parallel vehicle) in the context of a public tender process promoted by a regional authority, including regulatory aspects of fund set-up, analysis of requirements provided by EU-supported funding programmes, and negotiation of key transaction documents, including the investment agreement and related side letter*
