Giacomo Pansolli

Giacomo Pansolli is a corporate lawyer whose practice centres on private equity and M&A transactions, both domestic and cross-border, alongside corporate restructurings, equity capital markets and structured finance. He combines transactional expertise with a pragmatic approach to broader corporate and commercial matters, supporting clients in everything from strategic deals to day-to-day business needs, including joint ventures and the transfer of assets and businesses.

He regularly advises leading companies and Italian and international investment funds on complex, high-stakes transactions. His work spans the full lifecycle of a deal, from structuring to execution, with a particular focus on the drafting and negotiation of acquisition and investment agreements, shareholders’ agreements and corporate governance documents, as well as transactions involving the transfer of companies and going concerns.

• Advised a leading manager in the fashion industry on his investment in a fashion company and on the definition of his role as director within the business*
• Advised a leading logistics and transport group, backed by major investment funds, on a number of add-on acquisitions*
• Advised a Belgian company, backed by a Belgian fund, on the acquisition of an Italian business specializing in equine food and products*
• Advised a French group, controlled by a French investment fund, on the acquisition of an Italian company specialising in urban furniture*
• Advised an Italian investment fund on the acquisition of a majority stake in a group of diagnostic centres, as well as on subsequent add-on acquisitions and corporate reorganisations, including the issuance of participating financial instruments*
• Advised a US company on the acquisition of an Italian filters business and subsequently on its day-to-day corporate matters*
