Subject to required regulatory approvals and other customary closing conditions, this transaction will make history as the largest sale of a self-funded technology company, largest sale of a private software company, largest sale of a SMB software company and largest sale of a marketing software company.

LONDON, 6 SEPTEMBER, 2021 – International law firm McDermott Will & Emery announced today the arrival of three experienced corporate lawyers into its Global Transactions Practice in Singapore. In response to strong client demand, Partner Alfred Chia and Counsel Dawn Tan and Melissa Kwek will add to the Firm’s growing presence and offering in the Asia Pacific region. The appointments will provide deep private equity, M&A, funds, venture capital and fintech and finance experience and also complement energy and international projects heavy hitters Ignatius Hwang and Merrick White.

Alfred Chia has more than 20 years’ experience advising on cross-border transactions across Asia, Australia and the Middle East. He focuses his practice on projects, banking and finance, M&A, and blockchain and cryptocurrency advice.
Dawn Tan focuses her practice on corporate law, with more than 12 years’ experience in cross border transactions. She has particular experience in private M&A, private equity investments, venture capital investments and fund formation work involving domestic as well as international clients across various industry sectors.
Melissa Kwek focuses her practice on projects, particularly in the petrochemical, energy and infrastructure sectors, mergers and acquisitions and cross-border corporate transactions. She has acted for government agencies, multinational companies and other corporate clients across a wide range of industries.

Das Multi Tenant-Objekt liegt im Norden der Stadt in sehr guter Lage im gleichnamigen Stadtteil Hamburg-Rotherbaum. Das Gebäudeensemble besteht aus drei Teilen, hat sechs Geschosse und verfügt über eine Mietfläche von rund 29.000qm. Frankfurt a.M., 10. August 2021 – Das Frankfurter und Pariser Büro von McDermott Will & Emery beraten die Hanwha Solutions Corporation (HSC) beim geplanten Kauf der RES Méditerranée SAS von der Renewable Energy Systems Limited (RES Group).
Die Übernahme im Wert von 727 Mio. Euro soll bis Ende Oktober 2021 abgeschlossen sein. Gegründet 1999 mit Hauptsitz in Avignon, ist RES Méditerranée SAS unter anderem in den Bereichen Onshore- und Offshore-Windkraft sowie Photovoltaik, Energiespeicherung und Repowering aktiv. Der Kauf der französischen Projektentwicklungsgesellschaft von Wind- und Solarkraftwerken ist Teil von Hanwhas klarer Strategie, einen bedeutenden Beitrag zur Energiewende zu leisten und den Wandel zu einem führenden Komplettanbieter für erneuerbare Energielösungen zu vollziehen. Mit der Übernahme wird Hanwhas Produktpipeline in Europa auf rund zehn Gigawatt verdoppelt. Der endgültige Abschluss der Transaktion unterliegt der Beendigung des üblichen Arbeitnehmer-Konsultationsverfahrens sowie den üblichen behördlichen Genehmigungen.

Frankfurt, July 26, 2021 – McDermott Will & Emery hat die SIGNA Development Selection AG („SIGNA Development“), einen der führenden europäischen Immobilienentwickler, bei ihrer erfolgreichen Debüt-Anleiheemission beraten. Die Anleihe hat einen Gesamtnennbetrag von 300 Millionen Euro, eine Laufzeit von 5 Jahren und einen Kupon von 5,5 % p.a.. Sie erfüllt die Anforderungen der Green Bond Principles der International Capital Market Association (ICMA) und wurde im Rahmen einer internationalen Privatplatzierung bei institutionellen Investoren platziert, unter anderem in den USA bei qualifizierten institutionellen Käufern gemäß Rule 144A des US Securities Act. Die Dokumentation der Anleihetransaktion erfolgte im Wesentlichen nach deutschem Recht. Die Emission ist die erste internationale Kapitalmarkttransaktion von SIGNA Development und stellt zudem die erste Platzierung einer grünen Anleihe durch einen Immobilienentwickler in der DACH-Region in diesem Jahr dar

Clinify partners with payers and providers to leverage their cloud-based platform that combines healthcare expertise, analytics and care coordination services in order to develop and deploy the most cost-effective methods of care delivery and reduce obstacles to value-based managed care for low-income and underserved communities.
McDermott represented Clinify in this transaction as one of the 20 companies in the inaugural 2020 McDermott Rise class.
