New Beginnings Investment (Hong Kong) Co, Limited, a wholly-owned subsidiary of Zhende Medical Co., Ltd, and Multigate Medical Products UK Limited, a wholly-owned subsidiary established by Multigate Medical Products Pty Ltd, have jointly acquired the entire issued share capital of Rocialle Healthcare Limited, a manufacturer and supplier of medical devices and consumables in the UK, from Berendsen Healthcare Limited, a subsidiary of Elis SA, a French multi-service provider and a manufacturer and supplier of medical devices and consumables in the UK.
Multigate Medical Products Pty Ltd, is one of Australia’s leading manufacturers and suppliers of procedure packs and medical consumables for the public and private hospital markets. Zhende Medical Co., Ltd is a Shanghai Exchange-listed business and market leader in the design and manufacturing of medical products, specializing in wound management, infection and prevention, pressure treatment, sports protection and rehabilitation.
This is the purchasers’ first acquisition in the United Kingdom.

McDermott Will & Emery is pleased to announce the arrival of David Momborquette as partner in the Litigation Practice Group in the Firm’s New York office. The fifth litigation hire this year, David continues the McDermott’s strategic expansion to advise financial services clients. His experience strengthens its growing hedge fund and private equity capabilities.
David has litigated cases in the federal and state courts throughout the US and has substantial experience in both private securities litigation and securities regulatory matters. He has also managed investigations by the Securities and Exchange Commission, the New York Stock Exchange, the Financial Industry Regulatory Authority as well as US Attorneys’ offices and state attorneys general offices.
“McDermott is always looking for ways to better serve our clients and anticipate their changing needs with practical but innovative solutions. With the addition of David, as well as recent litigation hires in the US and UK, we continue to bolster our capabilities,” said David Rosenbloom, global leader of McDermott’s Litigation Practice Group. “The collective experience and particular knowledge of this growing team will help hedge funds, private equity firms and other clients in the highly regulated financial services industry protect themselves from risk.”
David focuses his practice on complex commercial litigation and regulatory matters. He counsels hedge funds, funds of funds and private equity funds on questions relating to insider trading and market manipulation, SEC examinations and other securities law issues such as investor disputes and class action litigation.
“McDermott has consistently demonstrated its dedication to reaching and serving clients around the world,” said David. “Whether in New York or across Europe, the lawyers here are willing to roll up their sleeves and bring both personal passion and legal prowess to bear for their clients’ businesses. David received his BA and JD from Boston University, where he was note editor of the Law Review, a G. Joseph Tauro Scholar, and an Edward F. Hennessey Scholar.
David joins recent hire Greg Ballard in New York in the Accountant Defense practice. McDermott has also added three other litigators this year: Andrew Savage in London, Ben Curtis in Miami, and Ashley Altschuler in Wilmington, Delaware, the Firm’s newest office.

McDermott Will & Emery hat die Unsere Champions GmbH bei der Übernahme der Münchner KiTa-Gruppe Isarkids beraten.
Die Isarkids-Gruppe betreibt mit rund 100 Mitarbeitern mehrere Kindergärten und Kinderkrippen an sieben Standorten in München und Landshut. Die zur Gruppe gehörenden Isarkids-Gesellschaften waren im September 2018 in die Insolvenz geraten. In einem durch den Sachwalter organisierten Bieterverfahren konnte sich die Unsere Champions durchsetzen und übernahm nun sämtliche Anteile an den Gesellschaften der Isarkids-Gruppe.
Unsere Champions betreibt Kindergärten und Kinderkrippen an mehreren Standorten in Bayern und Baden-Württemberg. Mehrheitsgesellschafter von Unsere Champions ist die französische Enjoy Group, die in der Vergangenheit bereits in Frankreich unter dem Namen Crèche 1, 2, 3 Soleil ein Netzwerk von über 40 Kinderkrippen aufgebaut hat.

McDermott Will & Emery advised Downtown Music Holdings, the parent company of Downtown Music Publishing and Songtrust, in its acquisition of AVL Digital Group and its portfolio of music distribution, rights management and artist services businesses.
Established in New York in 2007, Downtown Music Holdings is a leading music rights management company. Its songwriters were nominated for 18 Grammy Awards in 2019 alone and have contributed to multiple number one hit singles. The Songtrust division, a global royalty collection provider, serves over 170,000 songwriters and music publishers across 1.6 million song copyrights.
AVL’s client base now includes over 900,000 artists, labels and other rights holders, representing the largest independent sound recording catalog in the music industry. AVL’s portfolio companies, including AdRev, CD Baby, DashGo and Soundrop, distribute and monetize over 10 million tracks across popular content streaming services such as Amazon, Apple Music, Spotify and YouTube.
AVL Digital and its portfolio companies will continue to operate as a separate subsidiary of Downtown Music Holdings following the acquisition. The transaction is expected to close in early April, pending customary closing conditions. Additional information is available in the company’s press release.

McDermott Will & Emery berät die HyoSeong Electric Co., Ltd. beim Erwerb des Geschäftsbetriebs der insolventen HKR Seuffer Automotive GmbH & Co. KG. Der Erwerb erfolgt über ein deutsch-koreanisches Bieterkonsortium bestehend aus der KRAH Unternehmensholding GmbH & Co. KG und HyoSeong. HyoSeong beteiligt sich dabei zu 50 Prozent an dem chinesischen Joint Venture Shanghai Krah Seuffer Electronics Co. Ltd. Die Transaktion wird voraussichtlich im April 2019 vollzogen. Über den Kaufpreis wurde Stillschweigen vereinbart.
HyoSeong und KRAH planen, den Geschäftsbetrieb von HKR fortzuführen und durch Einbringung ihrer Expertise erfolgreich auszubauen. Es werden alle Arbeitsplätze an den HRK-Standorten in Kupferzell und Bitterfeld-Wolfen ebenso wie alle Kunden- und Lieferantenbeziehungen erhalten.
Die HKR Seuffer-Gruppe entwickelt und produziert seit über 20 Jahren Leistungselektronik für Hochspannungszwecke im Automobilbereich. Zu den Kunden von HKR zählen namhafte OEMs und Systemlieferanten in Europa, Asien und den USA. Das Unternehmen musste im November 2018 Insolvenz anmelden und wurde nun im Rahmen eines strukturierten M&A-Prozesses an das Bieterkonsortium verkauft.
HyoSeong ist ein Automobilzulieferer in Familienbesitz mit Stammsitz in Busan, Südkorea. Das 1973 gegründete Unternehmen stellt Gebläsemotoren für HVAC- und EC-Anwendungen sowie Motoren für den Einsatz in den Bereichen Servolenkung, ABS und Feststellbremsen her. HyoSeong beschäftigt weltweit mehr als 1.200 Mitarbeiter an sieben Standorten in Asien, Europa und Nordamerika.
KRAH ist ein mittelständisches Familienunternehmen mit Sitz in Drolshagen, das elektronische Komponenten für Automobil-, E-Mobilitäts- und Industrieanwendungen produziert. McDermott Will & Emery advised PDC*line in connection with the signing of a licensing agreement with the Korean pharmaceutical group LG Chem, to develop its therapeutic vaccine against lung cancer in Asia, for a total amount of 108 million euros.
Under the terms of the agreement, the Liège-based biotech PDC*line Pharma will collaborate with LG Chem Life Sciences, the life sciences division of the major conglomerate LG, which will have full rights to development and market the drug candidate for South Korea, as well as an exclusive option in other Asian countries development and marketing rights of the drug candidate for South Korea, along with an exclusive option in other Asian countries.

McDermott Adds Litigator to Address Nationwide Increase in Wage and Hour Class Actions

McDermott Will & Emery has hired partner Joseph K. Mulherin to advise clients on the increased litigation risks stemming from wage and hour and employment discrimination class actions. Joseph joins as a partner in the Employment Practice Group and will be based in McDermott’s Chicago office.
Joseph joins from Vedder Price where he served as co-chair of its Employment Class Action Group. He focuses on a wide range of complex employment matters, including defending employers against class action lawsuits and counseling them on best employment policies and practices. He has extensive experience representing clients in federal and state governmental agency investigations, including US Department of Labor and Equal Employment Opportunity Commission investigations.
“Adding breadth and depth in Chicago has been a priority for us as we continue to strategically grow McDermott’s Employment Practice,” said Michael Sheehan, global head of the Firm’s Employment Practice Group. “Joe’s employment-specific experience will complement our highly sought-out class action practice and allow us to work hand-in-hand with clients facing increasingly complex employment issues and growing litigation risks.”
Joseph also routinely advises companies on discipline and termination decisions, leave laws, worker classification, wage payment laws and timekeeping and web accessibility for disabled individuals, among other issues. His practice spans a range of sectors including health, banking, finance, retail, manufacturing, hospitality and technology.

Joseph received his BS from Marquette University and his JD from Pepperdine University School of Law.
