Ryan Clarke focuses his practice on complex cross-border leveraged finance transactions. He advises financial institutions, corporates and sponsors on a wide range of financing matters, including acquisition financings, refinancings and Holdco PIK structures.
Ryan has experience acting as lead junior associate on both sponsor and lender mandates, working closely with partners and senior associates to manage all stages of a transaction. His experience includes supervising the initial and post-closing conditions precedent process, liaising with local counsel on multi-jurisdictional matters, and reviewing key aspects of financing documentation. He also advises on ancillary documentation at the commitment stage and supports corporate teams on release processes.
- Advised lenders and sponsors on a broad range of leveraged and acquisition financings across Europe and the US, including Holdco PIK, bank/bond, and unitranche structures.*
- Advised Blue Water Energy, Weight Partners Capital, MessageBird, and SilverTree Equity on cross-border financings for strategic acquisitions.*
- Represented lenders including Ares, Arcmont, Oaktree, Golub Capital, Hayfin, and JPMorgan on complex European and US leveraged finance transactions.*
