Brooks Gruemmer and Samuel Wales led the McDermott team that represented Surgery Center Holdings Inc., a portfolio company of H.I.G. Capital LLC, whose acquisition of Symbion Holdings will create one of the leading independent ambulatory surgery center (ASC) operators in the country. Stephen Kranz and Diann Smith were among the co-counsel representing CDR Systems Corporation in its petition to the Oklahoma Supreme Court for a rehearing of CDR Systems Corp. v. Oklahoma Tax Commission, in which the court found the state’s headquarters requirement for a capital gains deduction was constitutional. The petition asked the court to reconsider the facts and find that the requirements violate the dormant commerce clause.

Stephen Kranz, Diann Smith, and Charles Capouet were cited by the Tax Analysts Deputy Publisher for writing “two very interesting articles” about challenging tax assessments in Washington, which he called a “must read.”

A California federal judge ended efforts by a group of beer drinkers to revive their antitrust case opposing Anheuser-Busch InBev’s $20.1 million acquisition of Group Modelo, and Raymond Jacobsen commented that the articles he discovered after the case was dismissed do not suggest any unlawful agreements. “Even if we did follow another company, it’s not illegal to look at what a bigger company is doing,” Mr. Jacobsen argued.
