CHICAGO (March 27, 2015) — International law firm McDermott Will & Emery advised Sensata Technologies B.V. in three financing transactions announced last week. Sensata is an indirect wholly-owned subsidiary of Sensata Technologies Holding N.V.

A cross-practice McDermott team advised the issuer on its private offering of $700 million in aggregate principal amount of 5.00 percent senior notes due 2025, cash tender offer for all of its outstanding 6.50 percent senior notes due 2019, and an amendment to the issuer’s senior secured credit facilities that increased the senior secured revolving credit facility commitment by an additional $100 million to $350 million in the aggregate. The amendment also extended the maturity of the senior secured revolving credit facility to five years after the closing of the amendment.

The new senior notes were issued at par and guaranteed on a senior unsecured basis by substantially all of the issuer’s existing and future wholly-owned subsidiaries that guarantee the issuer’s senior secured credit facilities.

Net proceeds from the Notes offering were combined with cash on hand to purchase all of the Issuer’s 6.50 percent senior notes due 2019 that were validly tendered (and not validly withdrawn) in the cash tender offer that Sensata commenced simultaneously.

“We are honored to have advised Sensata in these important financing transactions,” said Stephanie McCann, partner in McDermott’s Corporate Advisory Group and lead lawyer on the deal. “By combining our outstanding knowledge of the financial markets with our cross-practice finance and securities capabilities, we were able to guide Sensata through these transactions just as we advise other clients seeking to negotiate and close such sophisticated financing deals.”

In addition to McCann, members of the McDermott deal team included Corporate partner Heidi Steele, counsel Richard Mitchell and associates William Hadler, Daniel Goldstein and Alexander Tanton. Tax partner Daniel Zucker and Employee Benefits partner Maureen O’Brien also provided valuable assistance on this transaction.

Sensata Technologies Holding N.V. is one of the world’s leading suppliers of sensing, electrical protection, control and power management solutions with operations and business centers in thirteen countries. Sensata’s products improve safety, efficiency and comfort for millions of people every day in automotive, appliance, aircraft, industrial, military, heavy vehicle, heating, air-conditioning and ventilation, data, telecommunications, recreational vehicle and marine applications.

McDermott Wins Big in Trade Secret Jury Trial for Diablo Technologies

    March 25, 2015

    Read time: 5 min

SILICON VALLEY (March 25, 2015) — International law firm McDermott Will & Emery LLP today won a complete jury trial victory in the U.S. District Court for the Northern District of California for its client Diablo Technologies in its high-stakes battle with former development partner, Netlist, Inc.

Netlist, a manufacturer of memory modules, accused Diablo, a manufacturer of semiconductor chips, of eight counts of trade secret misappropriation, breach of contract, incorrect inventorship of Diablo’s patent, and counts of trademark infringement and false advertising under the Lanham Act.

The case, Netlist Inc. v. Diablo Technologies Inc., proceeded to trial on March 9, 2015. Following a two-week trial, the jury found that Diablo did not breach any contract and did not misappropriate any trade secrets. The jury also found that Netlist’s Chief Technology Officer was not an inventor on Diablo’s patent. And, rather than awarding Netlist the $6.5 million in damages that it had sought, the jury awarded nominal damages of $2 on the Lanham Act claims.

The McDermott team was led by partners Russell Hayman and Fabio Marino.

“We applaud the jury for its careful consideration of the legal and technical questions involved in this important lawsuit,” said Mr. Hayman. “The jury ruled on the evidence and came to the only conclusion it could have – there simply was no evidence that our client misappropriated any trade secrets or that Netlist’s CTO contributed to the inventions in the patent.“

“This case represents a classic come from behind victory,” added Mr. Marino. “The McDermott trial team secured this victory in the face of accelerated discovery, a looming injunction, and without the benefit of depositions for all expert witnesses. The jury saw that the plaintiff was trying to take credit for our client’s hard work. We are very pleased that Diablo can now put this litigation behind it and get back to business.”

The cross-practice McDermott trial team also included White Collar partner Jon Dean, IP Litigation partner Kieran Kieckhefer, IP Litigation associates Natalie Bennett, Nitin Gambhir, Barrington Dyer, Teri H.P. Nguyen as well as Trial partner Marisa Chun, and White Collar associate Tala Toufanian.

An interlocutory appeal was simultaneously proceeding on the issuance of the preliminary injunction. The appellate efforts were led by Trial partners Michael Nadel and Miller Baker as well as Mr. Marino and Ms. Bennett.

Today’s jury decision comes just days after McDermott prevailed at the Federal Circuit for its client Funai Electric Co. Ltd. In that case, the Court found affirmed an ITC determination that importation of Funai’s Internet-connected home entertainment products did not violate Section 337 of the Tariff Act.

McDermott advises Olam International on its $1.3 billion acquisition of Archer Daniels Midland Company’s global cocoa business

    December 17, 2014

LONDON (December 17, 2014) — International law firm McDermott Will & Emery represented Olam International Limited in its pending acquisition of Archer Daniels Midland Company’s (ADM) global cocoa business. The US$1.3 billion transaction will establish Olam Cocoa as one of the world’s top three cocoa processors.

Based in Singapore and listed on the SGX-ST, Olam is a leading agri-business operating in 65 countries. Its Cocoa business is one of the world’s largest suppliers of sustainable cocoa and is a leader in long-term sustainability initiatives.

The proposed acquisition, which has the support of Olam’s major shareholders, is subject to necessary regulatory approvals and clearances, customary closing conditions.

Corporate Partner Nicholas Azis co-led the McDermott team from London, with David Goldman, partner and head of the Firm’s International Corporate Advisory Practice Group leading the negotiations with partner Michael Sartor in the United States.

“We are pleased to be involved in what is a truly transformational deal for our longstanding client, Olam, and particularly for the cocoa team in London, for who we have advised on previous deals in Europe,” said Azis.

The acquisition follows a string of international deals this year on which McDermott has advised in the food and beverage industry, including, the acquisition of Unilever’s meat snacks business for Jack Links, the sale of the leading Nigerian beverage can manufacturer Alucan to Nampak and the acquisition by Belgian brewer Duvel Moortgat for Boulevard Brewing, in what was reported to be the largest acquisition in the craft beer space to date in the US.

“Olam’s continuing choice to engage McDermott as lead counsel on yet another deal, particularly such a strategic, board-level one, is a testament to our ability to affect a complex, billion dollar, cross-border transactions in food and beverage, a sector that we very much lauded for,” said Goldman.

McDermott has a long established relationship with Olam International, having represented the company on nearly a dozen acquisitions in recent years, including in West Africa, Russia and the United States. McDermott most recently represented Olam in the sale of its sweet condensed and evaporated milk business in Côte d’Ivoire to FrieslandCampina, a multinational dairy group based in the Netherlands.

With its acquisition of the ADM cocoa business, Olam will become one of the top three cocoa processors and enhance its origination footprint. Under the proposed transaction, the deal includes processing facilities in Mississauga, Canada; Koog aan de Zaan and Wormer, Netherlands; Mannheim, Germany; Ilhéus, Brazil; Abidjan, Côte d’Ivoire; Kumasi, Ghana; and Singapore, as well as ADM’s buying stations in Brazil, Cameroon, Côte d’Ivoire, and Indonesia, and the iconic deZaan brand and the UNICAO brands.

In addition to Mr. Azis, Mr. Sartor and Mr. Goldman, the McDermott deal team included partners, Maureen O’Brien, Daphne Trotter, John Calandra, Joel Grosberg, Ankur Gupta, Andrea Hamilton, Joanne Ludovici, Obiamaka Madubuko, Rohan Massey, Tom Scott, Volker Teigelkötter, Holger Weiß, and Daniel Zucker. Counsel Dan Bucca and Jan Hückel, and Associates Eleanor West, Lara Stahl, Jessica Bayles, Thomas Gennert, Misbah Imtiaz, Emily Knurek, Bess Morgan and Patrick Ryan were also instrumental in the transaction.

JP Morgan Ltd. acted as financial adviser to Olam. Jenner & Block and Sidley Austin advised ADM.

McDermott represents more than 500 clients in the Food, Beverage and Agribusiness sector, with many of these relationships stretching back for decades. The Firm advises all participants in the value chain—growers, processors, input suppliers, cooperatives, food manufacturers, importers, distributors, trade associations, retailers, restaurants and other stakeholders—across the range of issues affecting the production, distribution and marketing of food, beverages and related products.

McDermott Continues to Earn Top Rankings in Chambers USA 2014

    May 27, 2014

    Read time: 5 min

NEW YORK (May 27, 2014) — International law firm McDermott Will & Emery LLP has once again been recognized as a leading firm in 51 areas in the latest edition of Chambers USA. This includes practice rankings in 17 national and 33 state categories, two of which increased in the rankings this year: Texas Antitrust and White-Collar Crime & Government Investigations Illinois. The Firm received three national Tier 1 practice rankings and eight Tier 1 state practice rankings. In addition, the Firm’s Nationwide International Arbitration and Securities practices are newly distinguished in the ‘other noted firms’ category, which are firms that are active in this practice area but have not yet been ranked.

For the fifth consecutive year (2010-2014), McDermott’s Health Industry Advisory practice achieved a standalone, Tier 1 national ranking in the healthcare category, described by Chambers as being “Held in high esteem for advising a wide range of healthcare clients including hospitals, physician groups, nursing homes and integrated delivery systems…offering market-leading litigation capabilities, and housing an impressive bench of highly regarded practitioners.”

McDermott’s Private Client practice was honored for the eighth consecutive year with a national Tier 1 ranking in the Wealth Management category. Chambers described it as an “Exceptional wealth management practice with one of the largest and most enviable benches of lawyers across the country. Peers are full of admiration, while big-name clients regularly seek out its expertise in domestic and international trust and estate planning.” Additionally, the Firm’s Food & Beverages (Alcohol) practice was once again ranked Tier 1 nationally, a position it has held since this category was first established. Clients described McDermott’s service in this area as “the gold standard of substantive alcoholic beverage law,” adding that our lawyers “are responsive, understand client objectives, provide the appropriate level of advice on risk and take sincere interest in clients‘ needs.”

Chambers awarded McDermott 152 lawyer rankings across multiple practice areas and four lawyers are recognized for the first time this year. In addition, 17 Firm lawyers went up a tier in the latest edition of the guide.

“We are very proud that McDermott is consistently, impressively ranked and held in such high regard by our clients and peers in Chambers 2014,” said Firm co-chairs Peter J. Sacripanti and Jeffrey E. Stone. “Such recognition across our many practice areas is a testament to our top-notch attorneys, and the immense skill and dedication they consistently provide to our clients.”

Chambers USA’s rankings and editorial commentary are based on independent research, and interviews with clients and other purchasers of legal services. Chambers & Partners is one of the premier directories for legal services and in a recent survey of 20,000 in-house counsel over half reported that their directory of choice when reviewing law firms and individual lawyers is Chambers & Partners.
